Job Description
  • To manage the Company Secretariat and ensure compliance with Bank’s rules and regulations and prevent reputational risk amongst the Bank’s stakeholders.
  • Ensuring compliance with laws and regulatory directives on corporate matters, listing requirements, directors – (CAC, CBN, SEC, NSE, NDIC, FRCN) (Regulatory Compliance) and to avoid incurring penalties by the Bank
  • To provide legal counsel and support to the Bank as It relates to contracts, litigation and dispute resolution, credit and employment issues.
  • Maintaining or ensuring the maintenance of the Company’s Statutory Registers.
  • Record/Convey Board Approvals and Regulatory Compliance
  • Custody of the Common Seal, ensure it is affixed to authorized documents/transactions and keeping accurate records of its use.
  • Convening/organizing the company’s statutory meetings within the stipulated timeframes.
  • Ensure and manage friendly investor relations
  • Filing of necessary company/corporate returns with the relevant regulators within the stipulated timeframes to avoid penalties.  
  • The accurate recording and keeping of records/minutes of the company’s statutory meetings
  • Managing the Board of Directors.
  • Managing the expectations of the Board and Directors.

Requirements JOB REQUIREMENTS
Education :
  • Minimum education level – Bachelor of Laws (LL. B)
  • Must have one of the qualifications below: -
  • Should be a member of the ICSA, or ICAN, or a Legal Practitioner, or must have held the office of a secretary of a public company for at least 3 years of the five years preceding his appointment, or a body (corporate or firm) consisting of qualified persons.
Experience :
Minimum of 10 years post-graduation experience within the financial services industry with at least 5 years at senior management level.
Job Knowledge
  • Regulatory Knowledge - Mandatory knowledge of Basic CBN policies in addition to the Companies and Allied Matters Act, NSE Listing Rules, Investment and Securities Act, SEC Rules, CBN and SEC Codes of Corporate Governance.
  • Banking Industry Knowledge - Knowledge andexperience of market segments
  • Financial Industry Knowledge - Must keenly follow financial markets, economic policies and trends
  • Knowledge and experience of regulatory policies and guidelines:
  • Knowledge and understanding of Banking Operations (International & Domestic)
  • Litigation, Legal Financial Planning and documentation
  • Corporate Governance and Compliance Monitoring
  • Knowledge and understanding of Risk Management and Financial Standards (Domestic & International)
