Lead- Company Secretary

About the Job
1. Corporate Governance:
a) Develop and implement strategies for corporate governance, corporate policies. Ensuring alignment with best practices and the organization's objectives.
b) Provide strategic advice to the board on corporate governance, risk management, and compliance issues, ensuring that the organization's practices are aligned with its long-term goals.
c) Liaise with external regulators, auditors, and advisors to ensure that the company's corporate governance practices meet all necessary standards.
2. Corporate Secretarial and Compliance:
a) Responsible for all corporate compliance matters, SEBI, RBI and stock exchanges compliances
b) Convening of Board, Committee and Shareholders Meetings
c) Manage shareholders agreements and compliances of contractual obligations
3) Involvement in fundraise process of Private Equity and Debt & related contracts and compliances
4) Investors Relations, Shareholders & Stakeholders Management - Collaborate with the Investor Relations department to provide information to shareholders
5) IPO readiness - Ensuring all compliances and documentation are in place, coordinating with concerned stakeholders (internal, bankers, lawyers)
6) Risk Management - Identify potential risks facing the company and develop strategies to mitigate those risks effectively
7) Team Management - Lead, mentor, and develop the company secretarial team, ensuring the delivery of high-quality governance and compliance services across the organization
Must Haves:
- Education: CS & LLB.
- Experience: Proven track record of at least 12-18 years of progressive experience with 4-5 years into listed companies
- Leadership Skills: First principle thinker with a results-oriented mindset and the ability to drive business performance and growth.
- Communication: Excellent communication and presentation skills, with the ability to influence and negotiate effectively at executive levels.
- Strategic Thinking: Ability to develop and implement strategic financial plans aligned with organizational objectives.
