Reporting To: Company Secretary / Head Legal & Compliance
Key Responsibilities
Statutory & Regulatory Compliance
Ensure compliance under Companies Act, 2013, SEBI (LODR) Regulations, 2015, and other applicable corporate laws.
Assist in preparation and filing of statutory returns, forms, and documents with MCA, SEBI, Stock Exchanges, etc.
Board & Shareholder Meetings
Assist in organizing and conducting Board Meetings, Committee Meetings, and General Meetings (AGMs/EGMs).
Draft notices, agendas, minutes, and resolutions in compliance with secretarial standards.
Stock Exchange & SEBI Compliance
Preparation, review, and submission of quarterly, half-yearly, and annual filings with Stock Exchanges.
Liaison with stock exchanges, depositories, and SEBI for compliance-related matters.
Corporate Governance
Ensure adherence to corporate governance practices and assist in compliance with listing requirements.
Maintain statutory registers, records, and corporate filings.
Secretarial Audit & Reporting
Coordinate with auditors for Secretarial Audit, Annual Reports, and Corporate Filings.
Assist in preparing disclosures, certifications, and annual secretarial compliance reports.
Other Responsibilities
Support in drafting and vetting of policies, codes, and corporate documents.
- Liaison with internal stakeholders and regulatory authorities as required.
Preferred candidate profile
- Qualified Company Secretary (ACS) with 2-4 years of post-qualification experience in a listed company, preferably in the automotive / manufacturing sector.
- Strong knowledge of Companies Act, SEBI Regulations, LODR, FEMA, and Secretarial Standards.
- Experience in handling stock exchange filings, corporate governance, and board support.
- Good drafting, communication, and presentation skills.
- Proficiency in MS Office and compliance tools/software.
- Ability to work independently with attention to detail and deadlines.
