Company Secretary Job DescriptionThe Company Secretary will be responsible for managing corporate secretarial matters for Minfy and its subsidiary companies. They will support the accounts manager/financial controller in meeting audit deliverables and resolving audit queries in a timely manner. The Company Secretary will be responsible for drafting and preparing agendas, notices, and minutes books, as well as providing legal, financial, and/or strategic advice outside of meetings. Additionally, they will be responsible for preparing various policies in accordance with the Companies Act/SEBI/Listing Agreement and operating the MCA 21 Portal for uploading and filing various forms through the e-filing process.The Company Secretary will also provide training to business units on insider trading tools and ensure effective coordination with various stakeholders such as statutory auditors, internal auditors, and secretarial ROC forms filing regulatory authorities to ensure compliance with the Companies Act, 2013, and FEMA regulations. They will ensure efficient execution of the compliance program and monitor its implementation as per the compliance framework.

Responsibilities:

Responsible for managing corporate law-related activities and ensuring compliance with corporate laws, SEBI laws, RBI regulations, and other applicable laws and regulations.Monitor documentation, compliances, and form filings for the acquisition of new companies.Handle accounts payable and accounts receivables.Provide efficient and effective legal support services and ensure compliance with laws governing operations.Review and draft general contracts, including engagement letters, lease agreements, objection certificates, and non-disclosure agreements.Maintain minutes books for group companies and collect annual disclosures from directors.Ensure statutory compliances under the Companies Act and other applicable corporate laws, regulations, corporate governance standards, and guidelines.Responsible for boundary management, corporate affairs, liaisoning, compliance, and coordinating CSR activities.Assist in meeting shareholders, board of directors, and committee meetings.Coordinate with internal finance and business functions to complete statutory and regulatory compliance reporting requirements.Conduct board meetings, general meetings, and committee meetings and provide executive presence and guidance.Develop and maintain long-term relationships with accounts.Ensure policies are up to date and approved.Provide consultancy and advice on company law matters and various legal issues.Maintain statutory registers and records as per the Companies Act, 1956, and prepare and file statutory returns and e-forms.Assist in compliance and secretarial audits.Spearhead board engagement and related activities, including board/committee meetings and general meetings.Ensure the company complies with financial and legal requirements and maintains high standards of corporate governance.Keep up to date with regulatory and statutory changes and policies that could affect the organization.Provide support to board committees on specific projects.Review debt agreements and legal compliances.

Requirements:Minimum 2 years of experience in a Company Secretarial Role.Excellent communication skills and a positive attitude.Strong interpersonal skills.Well-versed in secretarial compliances procedures.
