Legal:Hands on experience in drafting, filing, attending & representing Company before different authorities viz Municipal Authorities, Taxation Authorities, Investigation Authorities, Assessment Authorities, Courts, Enforcement Authorities including Police Authorities and local bodies/Authorities for the cases which are ongoing & could emerge during the course of business.Responsible for identification and mapping of all the Compliance applicable for the Company and to devise & implement robust compliance mechanism & suitable risk mitigation plan.Drafting, vetting & execution of the different customer & vendor legal agreementsCustodian of all the Legal Agreements & RecordsSingle point contact & completely responsible for all secretarial and legal matters in the company.Adhoc Management Requirements, if any

Secretarial:Be appointed as Company Secretary, as per legal requirement.Preparation and conduct of Board Meetings & General Meetings along with all the necessary papers & Minutes of Meetings.Drafting of Annual Report containing Notice, Directors Report under Companies Act, 2013.Timely filing of all the necessary documents, returns, forms with ROC as required under Companies Act.Handling compliances applicable to the Company under FEMA and RBI guidelines.Co-ordination with Global Legal Team, Directors, Statutory Auditors, Internal Auditors, Group Auditors etcAdvice management about CSR proposals, review of spends done by the Company under various CSR initiatives and preparing & keeping all necessary records of CSR spends.To assist & ensure in complying with all Company Law Notifications and circulars, as applicable.

Knowledge, Skills & Abilities:Proficiency in English – both writing and speaking (Pre-requisite)Extensive Technical, Interpersonal, Analytical, Comprehensive, Problem solving abilities and skills with the business acumenSound knowledge on Business ConductSound knowledge in compliance regulations viz., Company Law, Labour Law, Factories Act, etcAbility to work independently as well as collaboratively and with high moraleAbility to take initiatives and lead them to logical conclusionsOpen for business travels
