JobDescription:

We seek a dynamic and motivatedindividual to join our team as a Company Secretary. As a CompanySecretary you will be responsible for ensuring compliance underCorporate & Securities Laws conducting Secretarial Auditsmanaging Corporate Governance handling secretarial records andensuring compliance with ROC (Registrar of Companies) and ListedCompany regulations. The role also involves dealing with NCLT(National Company Law Tribunal) drafting legal agreements andperforming various other secretarial tasks.

  • Requirements:

  • EducationalQualification: A qualified Company Secretary (CS) with membershipfrom the Institute of Company Secretaries of India (ICSI).

  • Skills:

  • Strong command over drafting legaldocuments.

  • Excellentcommunication skills both written and verbal.

  • Attention to detail and accuracy indocumentation.

  • Abilityto handle multiple tasks and prioritize effectively.

  • Roles and Responsibilities:

  • Secretarial Audit:

  • Conductingthorough reviews of the companys compliance with applicable lawsand regulations.

  • Identifying areas of improvement and suggesting correctiveactions.

  • Corporate Governance:

  • Implementing and overseeing effective corporate governancepractices.

  • Advising theboard on governancerelated matters.

  • Secretarial Records Handling:

  • Managing and maintaining statutoryregisters and records.

  • Ensuring proper documentation of board meetings and otherkey corporate events.

  • ROCCompliances / Listed Company Compliances:

  • Ensuringtimely filing of necessary documents with the Registrar ofCompanies (ROC).

  • Compliance with regulations applicable to listedcompanies.

  • NCLT & IBCMatters:

  • Handling matters related to theNational Company Law Tribunal (NCLT) and Insolvency and BankruptcyCode (IBC).

  • Representingthe company in legal proceedings as necessary.

  • Drafting of Legal Agreements & VariousOther Secretarial Work:

  • Drafting reviewing andfinalizing legal agreements.

  • Assisting in various secretarial tasks and projects asrequired.
