Role : Mergers and Acquisitions Manager
Experience : 6-10 Years
Location : Pune
Job Description:
Deal Sourcing – Identifying and sourcing new strategic acquisition opportunities via proprietary research, Investment Bankers, internal stakeholders (Management, Board Members, etc.)
Deal Evaluation – Assessing the strategic fitment of these acquisition opportunities and internalizing the analysis with the Management Team and Investors
Deal Structuring – Assisting the management team in structuring transaction constructs and presenting offers (Indication of Interest, Letter of Intent, etc.) to the sellers;
Stakeholder Management including Investment Bankers, Advisors, Investors, etc.
Due Diligence – Work along the internal stakeholders to drive the commercial diligence and working along with the advisors and functional teams to assist on various diligence streams including financial diligence, legal diligence, tax diligence, etc.
Documentation – Assist the legal team and the advisors in drafting the closing document including the MIPA/SPA, etc. Support the management team in offer negotiations.
Assist in Integration – Work with the integration team to devise an integration plan pre-closing and provide team with the necessary support and documentation
Strategic Initiatives – Assist on the new strategic initiatives including business transformation, revenue expansion strategies, etc.
Business Analysis – Co-ordinate Monthly Business Reviews of all the verticals and practices, assist the business leaders in putting together these Monthly reports, discussion documentation, and track progress on the key areas of discussion.
Investor & Board meeting preparation – Assist in putting together the Monthly, Quarterly, and Annual Board Presentations, and coordinate with the internal stakeholders to ensure timely completion of the report
Research – Assisting the management with ad hoc industry research across diverse subjects including new age technology, specific industry, competitors, etc.
Qualifications:
Post MBA experience of around 6-10 years in corporate development /Investment Banking
Hands-on experience in Financial Modeling ( DCF, Bottoms-up, P&L Projections, etc.) and Valuation Modeling (Football Field Analysis, Precedent Transaction, SOTP, etc.)
Interpersonal Skills – Subject Articulation, Written and Verbal Communication
PowerPoint Presentation and Advanced Excel
Working with Data Sources – LinkedIn, Capital IQ, and other publicly available sources
