Governance, Board & Shareholder Matters:

- Support Legal Counsel in managing shareholder and board processes for group companies in India and as required support the local team for the holding company in Singapore.

- Prepare agendas, papers and follow-ups on appropriate actions for the board, committee and annual general meetings (AGMs)

- Lead, manage and co-ordinate calendars to effectively organize board and board committees periodically in compliance with relevant laws and shareholder agreements.

- Convening and conducting AGMs, recording proceedings, formulating resolutions and submitting relevant paperwork and yearly reports to proper departments.

- Manage compliance checklists for shareholder related requirements either under law and in accordance with various shareholder agreements for group companies in India

Corporate Law & Other Legal Matters:

- Lead maintenance of all statutory records required under Corporate law for group companies in India

- Lead compliance and reporting processes with Registrar of Companies (ROC) overseeing the work of external consultants for various Corporate Law matters from time to time

- Support Legal Counsel in preparation of comprehensive checklists for compliance with all applicable laws for the overall operations of Tabreed group in India and ensure periodic review is done on compliance on all applicable matters.

- Assist with all legal, contractual and regulatory interactions with all government departments, entities and regulators

- Corresponding, compiling data, creating reports and informing key stakeholders of decisions

Risk Management, Compliance & Reporting:

- Support the process of preparation and periodic updation of the organizational risk register including planned Mitigants in co-ordination with relevant departments within India.

- In consultation with Legal Counsel, manage all department, board and shareholder reporting processes to ensure timely updates are provided in accordance with the agreed management information systems processes implemented for Tabreed group in India.

- Provide ad-hoc support to Legal Counsel in drafting policy documents, letters or correspondences whether for internal or external stakeholders, review of template contracts like NDAs etc prior execution and in proper functioning of the Legal Department for Tabreed group in India

Minimum Qualifications:

- CS certification

- Bachelor's Degree in Law (preferable); business communication course certification

- Familiarity with relevant laws, regulations, and best practices related to corporate governance

- Experience in organizing board meetings, maintaining official records, and facilitating communication between stakeholders

- Strong understanding of corporate compliance and statutory filing requirements

Minimum Experience:

- Minimum of 3-5 years of experience as a Company Secretary or in a similar corporate governance role

- Knowledge of law and finance

- Familiarity with relevant software and applications

- Experience in international cross-border transactions and projects

- Ability to liaise effectively, and coordinate with, internal project teams and vendors and service providers (at the international and local level)
