Position: Mergers and Acquisitions (M&A) Lawyer

Job Summary: We are seeking a highly skilled and experienced M&A lawyer to join our client. The ideal candidate will have extensive experience in all aspects of M&A transactions, from due diligence and negotiation to closing and post-merger integration. This role requires strong analytical skills, a deep understanding of corporate law, and the ability to manage complex legal issues in a fast-paced environment.

Key Responsibilities:

  • Lead and manage M&A transactions, including asset and stock acquisitions, mergers, joint ventures, and corporate restructurings.
  • Conduct and oversee legal due diligence, identifying and mitigating potential risks.
  • Draft, review, and negotiate transaction documents, including confidentiality agreements, letters of intent, and definitive purchase agreements.
  • Provide legal advice on a wide range of corporate and commercial matters.
  • Collaborate with internal teams, including finance, tax, and business development, as well as external counsel and stakeholders.
  • Ensure all transactions comply with relevant laws and regulations.
  • Manage transaction closings and support post-closing activities.

Qualifications:

  • Bachelor of Laws (LL.B.) or equivalent from a recognized university.
  • Enrolment with a State Bar Council in India.
  • 7-12 years of experience practicing M&A law at a law firm or in-house legal department.
  • Proven track record of successfully managing complex M&A transactions.
  • Excellent negotiation, drafting, and communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work under pressure and meet tight deadlines.

Preferred Skills:

  • Experience with international M&A transactions.
  • Knowledge of specific industries such as technology, healthcare, or finance.
  • Familiarity with private equity and venture capital transactions.
