Overview:

- As a Deputy General Manager - Company Secretary, you will play a crucial role in ensuring the legal and regulatory compliance of the organization.

- You will provide expert advice on corporate governance matters, manage board and shareholder meetings, and oversee the company's secretarial Corporate Governance: Advise the board of directors on corporate governance matters, ensuring compliance with applicable laws and regulations.

- Board and Shareholder Meetings: Manage the organization of board and shareholder meetings, including preparation of agendas, minutes, and resolutions.

- Legal and Regulatory Compliance: Ensure compliance with all relevant laws and regulations, including the Companies Act, SEBI regulations, and listing requirements.

- Secretarial Functions: Oversee the company's secretarial functions, such as maintenance of statutory records, filing of returns, and compliance with secretarial standards.

- IPO and Listing: Provide guidance on initial public offerings (IPOs) and listing requirements, ensuring compliance with applicable regulations.

- Mergers and Acquisitions: Assist in the legal and secretarial aspects of mergers, acquisitions, and demergers.

- Corporate Actions: Manage corporate actions such as dividends, bonus issues, and stock splits.

- Risk Management: Identify and mitigate legal and regulatory risks faced by the company.

- Contract Management: Review and advise on contracts, ensuring compliance with legal and commercial requirements.

- Corporate Social Responsibility (CSR): Oversee the company's CSR initiatives and ensure compliance with applicable Bachelor's degree in Law or Commerce with a specialization in Company Secretaryship.

- Associate Membership of the Institute of Company Secretaries of India (ACS).

- Minimum 10-15 years of experience in a similar role, preferably in a listed company.

- Strong understanding of corporate law and regulations.

- Excellent communication and interpersonal skills.

- Ability to work independently and as part of a team.

- Strong analytical and problem-solving skills.

Desired Skills:

- Experience in handling IPOs and listings.

- Knowledge of international corporate governance standards.

- Experience in dealing with regulatory bodies such as the Securities and Exchange Board of India (SEBI)
