Role Overview:

Valerion Health is seeking a highly qualified and experienced Independent Director to join its Board of Directors. The ideal candidate will provide Industry connect, strategic oversight offer guidance on governance, and ensure that the company adheres to the highest standards of corporate responsibility, regulatory compliance, and ethical practices.

The Independent Director will play a critical role in shaping the long-term direction of the company.


Key Responsibilities:

  • Contribute to the development and approval of the company's strategy and business plans.
  • Provide independent judgment on critical business decisions, financial oversight, and regulatory compliance as per HIPAA, FDA and/or other compliance standards.
  • Serve on board committees, including audit, compensation, and governance.
  • Ensure the interests of shareholders and stakeholders are balanced with the company’s long-term objectives.
  • Offer expertise in healthcare or related sectors to guide company policies and practices.


Qualifications:

  • Experience in strategic planning, corporate governance, risk management, and financial oversight at a senior level.
  • Prior experience serving as a Senior Executive or a Director on the board of any company (preferred but not mandatory) in the same sector i.e. healthcare
  • Strong understanding of the US healthcare industry, regulatory landscape, including the HIPAA standards, trends in healthcare technology, patient care, and innovation.
  • Familiarity with financial, legal, and ethical issues relevant to the healthcare sector.
  • Demonstrated leadership ability, with a proven track record of influencing organizational success through strategic oversight and corporate governance.
  • High ethical standards, integrity, and ability to act in the best interest of shareholders and stakeholders.
  • Independent judgment and the ability to challenge and advise management constructively.
  • Excellent communication and interpersonal skills to interact effectively with other board members, senior management, and shareholders.
  • Willingness to commit the time necessary to effectively fulfill the duties and responsibilities of the role, including attendance at Board meetings, committee participation, and other related activities.
