Job pre-requisites
1. Educational Qualification – Qualified or semi qualified ACS
2. Total Experience – 3 to 5 years of experience in Companies Act, FEMA and RBI compliance
3. Should have worked in corporate environment
Job Location - Chennai
Job description
1. Filing, registering any document including forms, returns and applications by and on behalf of the company with all the applicable authorities
2. Maintenance of secretarial records, statutory books and registers
3. Arranging board/general meetings and preparing minutes thereof
4. Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder;
5. Advising companies on Compliance of legal and procedural aspects under NBFC and AIF regulations, Foreign Exchange Management Act, IPR Protection, Valuation and Audit;
6. Drafting and vetting all fund related and company agreements, MOUs and other legal documents;
7. Maintaining Statutory Registers and other Company records;
8. Liaising with ROC, Consultants and other external agencies;
9. Such other tasks as required by the Manager.
Key Skills
1. Technical skills
a. Should have thorough knowledge of the Indian Foreign Exchange Management Act and the Indian Companies Act.
b. Should have basic knowledge of PowerPoint, Word and Excel tools.
2. Communication skills
a. Should have fluency in English.
b. Should possess exceptional writing skills and concern for detail.
3. Personal traits
a. Should be willing to work both independently and as part of a team.
b. Should be forthcoming to work on ad hoc projects as assigned by the Manager.
c. Should behave in a mature and responsible fashion with all the official contacts
