Job Position: Company Secretary

Reporting to: CEO

The essential job roles of the Company Secretary would be:


·      Legal & Administrative Tasks: Managing various legal and administrative tasks, serving as a legal representative, handling company incorporation, preparing and auditing business reports, filing annual returns, and staying updated on regulatory changes.

·      Business Advisor: Acting as Business Advisor to the Board of Directors, offering guidance on laws, corporate governance, strategic management, project planning and capital markets

·      Incorporation Procedures: Verify and authenticate documents for company registration, deliver details to the registrar, and handle share capital increase applications.

·      Shareholder Management: Maintain records of share warrant holders, comply with annual return filing, and issue statutory declarations for commencement certificates.

·      Statutory Books: Manage and update statutory books, provide meeting updates, and issue notices for general meetings.

·      Financial Reports: Sign and authenticate financial reports, file resolutions with the registrar, and prepare meeting minutes promptly.

·      Tax Compliance: Manage verifying and submitting attested returns, overseeing TDS filing, ensuring right TDS deduction from employee salaries, and maintaining proper TDS reports.

·      Regulatory Compliance: Obtain government approvals and adhere to Industrial Disputes, FEMA, State Insurance, Depositories, etc.

·      Legal Compliance:  Monitor and comply with various legal laws, including labour, competition, and environmental laws.

·      Risk Management: Advise authorities and the Board of Directors (BOD) on risk management strategies.

·      Business Policies: Provide guidance on business policies, strategies, and corporate social responsibilities.

·      Stakeholder Communication: Ensure effective communication between stakeholders, authorities, and the government.

·      Intellectual Property: Manage and safeguard the intellectual rights of the company.

·      Ethical Responsibility: Ensure honest and ethical conduct in all duties, maintaining integrity in dealings and upholding the legal rights of the company. Adherence to ethical standards is crucial to building trust and credibility within the organization.

·      Corporate Governance: Establish and drive implementation of Corporate Governance norms to ensure transparency in all operations.

·      Compliances: Ensure timely compliance of matters related to issue of shares, its transfer, transmission etc. and up-to-date maintenance of records relating to members, their shareholdings etc.. & other statutory records prescribed under the Companies Act, I956/2013.

·      Ensure timely & correct filing of various forms, returns etc. with, the office of Registrar of Companies/MCA & related compliances.

·      Meetings: Ensure periodic and timely Conduct of Board Meetings, Committee meetings and all formalities precedent & succeeding such meetings.

·      AGM/EAGM: Ensure periodic & timely conduct of Annual General Meetings & Extra Ordinary General Meetings and all formalities precedent and succeeding such meetings.

·      Other connected assignments, as and when required.


BeAM expects the Incumbent should also be handling the Legal Matters such as:

 

·      Overseeing all legal and external affairs matters including litigation, investigations, compliance, mergers and acquisitions, contract matters and international trade issues.

·      Safeguarding legality of commercial transactions, representing companies and advising corporate employees of their legal rights and duties. Set guidelines on how corporate and companies interact externally through commercial transactions and internally through corporate governance.

·      Monitor all open legal issues involving the company, and legal issues affecting the industry

·      Vetting of each and every agreements and essential documents of the company and to provide guidance accordingly.

·      Ensure issue of periodic reports/updates on changes in the legislation and laws, their implications and recommendations to safeguard against legal violations.

·      Review/provide viewpoints on matters requiring legal intervention.

·      Recommend suitable and ethical lawyers to the management as per requirement of the company.

·      Other connected assignments, as and when required.


Required qualifications::


  1. Educational Qualifications:

(i)                A postgraduate degree in commerce from a reputed university

(ii)              Company Secretary Course from a reputed College/Institution.

(iii)            LLB/Company Law  (thorough understanding of Corporate Law).


  1. Membership:

      Must be a member of the Institute of Company Secretaries of India (ICSI).

 

Experience    :  3-5 years’ experience, strictly in all the given areas

 

Expected personality traits:

1. Highly proactive and having initiative in improving the working environments

2. High energy levels and temperament to take up activities that have time commitments

3. Open to learn new technological/digital tools that can improve functioning of an organization

4. Excellent verbal and written communication skills.


Preference will be given to candidates from Gurgaon & South Delhi or those who can relocate to Gurgaon on taking up the position.


Salary will be commensurate with qualifications and experience.
