Role Description
This is a full-time on-site role for a Compliance Manager at Market Creators located in Vadodara. The Compliance Manager will be responsible for overseeing and implementing compliance programs, conducting internal audits, developing policies and procedures, and ensuring adherence to regulatory requirements.
Qualification: Company Secretary (Preferred) or Graduate
Role Overview:
As a Compliance Manager, you will be responsible for ensuring the company adheres to all regulatory and statutory requirements. You will manage compliance related to the Companies Act, Income Tax Act, SEBI regulations, stock exchange guidelines, and listing requirements, ensuring that all operations align with legal and ethical standards.
Key Responsibilities:
• Regulatory Compliance & Governance:
• Ensure compliance with SEBI, stock exchanges, Companies Act, Income Tax Act, and other applicable laws.
• Monitor and implement changes in regulations, ensuring timely updates and adherence.
• Liaise with regulatory bodies such as SEBI, NSE, BSE, and ROC for filings, approvals, and clarifications.
• Stockbroker Compliance:
• Oversee compliance related to brokerage operations, client onboarding, and reporting obligations.
• Ensure timely submission of returns, reports, and disclosures to SEBI and stock exchanges.
• Monitor trading activities to prevent any regulatory violations.
• Company Law & Corporate Governance:
• Ensure statutory compliance under the Companies Act for board meetings, annual filings, and shareholder disclosures.
• Maintain corporate records, minutes of meetings, and statutory registers.
• Handle secretarial audits and board-related compliance.
• Tax & Financial Compliance:
• Ensure timely filing of tax returns, GST compliance, and TDS deductions.
• Assist in audits and inspections related to tax and financial regulations.
• Risk Management & Internal Controls:
• Develop and implement compliance policies, SOPs, and internal controls.
• Conduct periodic compliance audits and risk assessments to mitigate regulatory risks.
• Train employees on compliance-related matters and ethical business practices.
Key Skills & Competencies:
• Strong understanding of SEBI, stock exchange, and corporate laws
• Knowledge of brokerage operations and regulatory reporting requirements
• Attention to detail and ability to interpret complex regulations
