Executive - Corporate & Secretarial Advisory - Consulting Firm – CS
Roles and Responsibilities:
Business Set up underthe Companies Act, 2013 and the LimitedLiability Partnership Act, 2008
Incorporation of Public and Private Companies(including wholly owned subsidiaries offoreign companies)
Incorporation of Foreign Entitiesin the form of LiaisonOffice/Project Office/Branch Officeof Foreign Companies in India- Conversion of a Partnership Firm/ Limited Liability
Partnerships (LLP) into a Company
Conversion of Private Companies into Public Companies & Vice-versa
Incorporations & closure of Limited LiabilityPartnerships (LLPs) with domestic andforeign partners
Drafting of LLP Agreement. - Drafting Articlesof Association & Memorandum ofAssociation
Regulatory Secretarial Practices under the Companies Act, 2013 and the LimitedLiability Partnership Act, 2008
Preparationof documentation and assistance in holding variousDirectors' and Shareholders'Meetings
Maintaining Statutory recordsfor the Companies.
Filing of annual and various other e-forms with theMinistry of CorporateAffairs.
Drafting and vetting of various Shareholders agreements, share purchaseagreements, etc.
Drafting and vetting of LLP agreements.
Amendment of Memorandum and Articles of Association
Liaising with Registrarof Companies, RegionalDirectors, Ministry of Corporate Affairs,Reserve Bank of India and various other regulatory bodies.
Arranging DSC (DigitalSignature Certificate) & DIN (DirectorIdentification Number) ofIndian and foreign nationals.
Change in Registrations / Owners / Directors / Partners under the Companies Act, 2013 and the Limited Liability Partnership Act, 2008
Shifting Registered Officeof Companies within the state or outsidethe state
Obtainingapproval of CentralGovernment / RegionalDirector / CompanyLaw Board andother Regulatory bodies
Assistance in Directors' appointment and resignation from companies incorporated in India
IncreasingAuthorized & Paid-upShare Capital of companies by way allotting securities to Indian and Foreign nationals
TransferringShares from one person/entity to another in case of Indian and Foreign nationals
Appointment & Resignation of Designated Partners NBFC/FEMA/SEBI Compliance
Advisory and compliance of External Commercial borrowings
Assistance and guidanceon remittance of funds from India
Advisory relating to current and capital account transactions- Compounding under FEMA
Skills/Qualifications
Bachelor's degree
CS (Minimum 2 to 5 years’ experience after qualification in Corporate Legal & Secretarial Compliance)
Experience in workingwith MNCs (Listed or Unlisted) Motivating others- Coordination.
Purpose: Independently handlingclient’s Corporate Legal & Secretarial Compliance Location: Near Guru Dhronacharya Gurgaon
Preferred Experience:3 to 5 years
Preferred Education: A law Degree is requiredalong; however, the main qualification must be a CS.
