JobDescription
KeyResponsibilities:
1. ComplianceManagement:
o Ensure compliance withSEBI (LODR) Regulations and other statutoryrequirements
for listedcompanies.
o Maintain uptodateknowledge of SEBI Regulations and other relevantlegal
requirements.
2.Secretarial Functions:
o Assist inpreparing and filing necessary documents returns and forms withregulatory
authorities.
oDraft notice agenda minutes and relateddocuments.
o Ensuring pre and postmeeting compliances
o Manage andmaintain statutory books and registers required under CompaniesAct
2013 and SEBIRegulations.
3. CorporateGovernance:
o Support theimplementation of best practices in corporategovernance.
o Assist in organizing andconducting board meetings annual general meetings(AGMs)
and other committeemeetings.
o Ensure timelydissemination of notices agendas and minutes ofmeetings.
4. Liaison andCoordination:
o Liaise with internaldepartments external consultants and regulatory authoritiesas
required.
oCoordinate with auditors and ensure compliance with auditrequirements.
5. Documentation andReporting:
o Prepare and submitperiodic compliance reports to the board and seniormanagement.
o Maintain accuraterecords of all filings correspondences and otherrelevant
documents.
Qualifications:
CS (Company Secretary) qualification ispreferred.
23 years of experience inhandling compliance for listedcompanies.
Thorough understanding ofSEBI (LODR) regulations and other applicable legalrequirements.
Excellent draftingcommunication and interpersonalskills.
Proficient in MS Officeapplications and compliance managementsoftware.
SkillsRequired:
Strong knowledge of SEBI(LODR) regulations and compliancerequirements.
Attention to detail andthe ability to handle multiple tasksefficiently.
Good organizational andtime management skills.
Ability towork independently as well as part of ateam.
Proactive and able to handlecomplex issues with minimalsupervision.
