About Role

Designation- Senior Manager/ Manager

Location- Mumbai – Bandra Kurla Complex office

Reports to- DGM – Corporate Secretarial

About the function- Corporate Secretarial Function manages global compliances for subsidiaries across geographies. This also includes compliances under Companies Act, SEBI Listing Regulations and other applicable corporate laws for Tata Communications Limited in India and Corporate Secretarial compliances for international susbidiaries.

Purpose of your Role

The job profile involves the following:

Corporate Secretarial activities of subsidiaries of Tata Communications Limited in India and overseas including conducting/handling Board Meeting of subsidiaries independently Assisting in Corporate Secrtetarial activities of Tata Communications Limited, a listed entity including compliances pertaining to the Companies Act, SEBI Listing Regulations, Prohibition of Insider Trading etc. Special projects – M&A, ESOPs, etc.

You will be accountable for (Key Responsibilities)

Independently handling all secretarial activities and compliances of subsidiaries of Tata Communications Limited including conducting Board and committee meetings independently Global Compliances for subsidiaries across geographies including conducting Board and committee meetings, pre and post meeting compliances, regulatory filings Mergers, Acquisitions and other special projects in India and Overseas Compliances with SEBI Listing Regulations, Insider Trading Regulations Compliances and procedures around Stock Options, Related Party Trasnaction

You will be accountable for (Key Responsibilities)

Monitoring changes in relevant legislation and regulatory environment and assessing the implications on Tata Communications in the Corporate Secretarial space globally. Assisting with Annual General Meeting, Integerated Report and related compliances. Work relating to incorporation of companies, change of name, alteration of memorandum and articles of association, change of regsitered office. Supporting internal cross-functional teams.

You have (Qualification and exp)

Company Secretary with an experience of 7 to 8 in handling corporate secretarial activities for listed and/or unlisted companies.
