Role & responsibilities

  • ROC Filings & Compliance:
  • Prepare, verify, and file e-forms such as AOC-4, MGT-7, DIR-12, PAS-3, ADT-1, INC-22, etc.
  • Ensure timely submission of annual and event-based compliances with the Registrar of Companies (ROC).
  • Maintain a compliance calendar and track filing deadlines to avoid penalties.
  • Board & Shareholder Meetings:
  • Draft board meeting and AGM notices, agendas, resolutions, and minutes.
  • Coordinate logistics for meetings, including circulation of notices and maintaining attendance records.
  • Ensure adherence to secretarial standards (SS-1 & SS-2).
  • Statutory Registers & Documentation:
  • Maintain and update statutory registers such as
  • Register of Members
  • Register of Directors & Key Managerial Personnel
  • Register of Charges, Allotments, and Transfers
  • Keep company records organized and easily accessible for audits or inspections.
  • Incorporation & Company Changes:
  • Assist in the incorporation of new companies and LLPs through SPICe+ forms.
  • Handle changes in directorship, registered office, authorized share capital, and shareholding pattern.
  • Draft related board/shareholder resolutions and supporting documents.
  • Liaisoning & Coordination:
  • Coordinate with clients, auditors, directors, and regulatory authorities (ROC, MCA, etc.) for compliance matters.
  • Communicate with internal departments to ensure documentation is complete and accurate.
  • Legal & Regulatory Support:
  • Conduct research on provisions of the Companies Act, 2013, FEMA, SEBI, and LLP Act as required.
  • Assist in secretarial audits, due diligence, and other certification work under the supervision of a qualified CS.
  • Support drafting of legal documents, contracts, and compliance reports.
  • Corporate Governance:
  • Ensure the company adheres to ethical practices and corporate governance norms.
  • Provide inputs to management for improving compliance processes and record-keeping systems.
  • Advisory Assistance:
  • Support in preparing opinions and reports for clients on various corporate, legal, and secretarial issues.
  • Stay updated with notifications, circulars, and amendments from MCA, ICSI, and other authorities.
  • Other Responsibilities:
  • Assist in the conversion, merger, or closure of companies.
  • Handle share allotment, transfer, and issuance of share certificates.
  • Maintain confidentiality of sensitive company information at all times.
