CORPORATE

Role Description

This is a full-time on-site role for a Corporate Lawyer at Lexstone Group in Gurgaon. The Corporate Lawyer will be responsible for providing legal advice to clients on various corporate matters, including but not limited to, corporate transactions, structuring, drafting and negotiating contracts, managing legal documentation, and ensuring compliance with applicable laws and regulations.

Qualifications

·      
Minimum Required Post-Qualification Experience: The candidate shall have at least 5 years of experience.

·      The candidate shall have extensive knowledge of the Corporate Laws and other laws, such as Prevention of Money Laundering Act, Companies Act, LLP Act, Criminal Procedure Code, Indian Penal Code, Evidence Act, Prevention of Corruption Act, etc. is desirable.

·      The Candidate shall have experience in transaction advisory including structuring of transactions, drafting, review and negotiation of transaction documents such as shareholders agreement, share purchase agreement, business transfer agreement, collaboration agreement, development agreement, franchisee agreement, master service agreement, consortium agreement, etc.

·      The Candidate shall have a working knowledge of the Foreign Exchange Management Act (FEMA) on various issues, such as Foreign Direct Investment in India (FDI), Overseas Direct Investment outside India (ODI), Remittance Scheme, External Commercial Borrowings, Branch Office, Export-Import, Foreign Bank Accounts, Capital-Current Account Transaction, Compounding, etc.

·      Excellent drafting and legal writing skills

·      Strong communication and negotiation skills

·      Ability to work in a team and manage multiple projects simultaneously

·      Experience in representing clients in court and other legal proceedings

·      Bachelor's degree in law from an accredited university

·      Licenced to practice law in India

·      Experience in criminal litigation and white-collar investigations is a plus

·      Educational Qualification: LLB. CS/ CA shall be added advantage.

·      Minimum Required Post-Qualification Experience: 5 Years
