KULT is a fast-growing beauty e-commerce platform, building the future of how people discover and shop for beauty. We are looking for a dynamic Head of Legal to lead our legal and compliance function, partner with leadership, and play a key role in shaping the company's growth journey.

Role Overview
The Head of Legal will be responsible for leading all legal, regulatory, and compliance matters for KULT. This includes building and overseeing the legal function, ensuring regulatory compliance, safeguarding company interests, and acting as a trusted advisor to leadership on risk, governance, and strategic decisions.

Key Responsibilities

• Legal Advisory & Business Partnering
• Act as the primary legal advisor to the Management, Leadership, and Business Heads on all legal and regulatory aspects.
• Provide proactive legal input on business models, product launches, partnerships, and expansion strategies.
• Advise on cross-border regulations and international compliance for global vendor or marketplace engagements.
• Contracts & Commercial Transactions
• Draft, review, and negotiate a wide range of contracts: vendor agreements, supply chain contracts, distributor agreements, SaaS/tech contracts, NDAs, employment agreements, and investor agreements.
• Standardize templates and processes to make contract execution faster and risk-mitigated.
• Ensure favorable terms for KULT while balancing commercial realities.
• Corporate Governance & Secretarial Compliance
• Ensure compliance with Companies Act, FEMA, labor laws, and other applicable laws.
• Work with Company Secretary and external consultants on board meetings, filings, and shareholder communications.
• Maintain statutory registers, minutes, and records in alignment with best corporate governance practices.
• Regulatory & E-Commerce Compliance
• Oversee adherence to e-commerce regulations (Consumer Protection Rules, FDI in e-commerce, IT Act, Data Protection Bill, etc.).
• Ensure compliance with advertising standards, influencer marketing regulations, and product labeling norms.
• Stay updated on evolving legal frameworks impacting beauty, retail, and e-commerce sectors.
• Dispute Management & Litigation
• Handle pre-litigation strategy, notices, and settlement negotiations.
• Manage litigation related to employment, consumer complaints, vendor disputes, and IP infringement.
• Liaise with external counsel and monitor case progress, ensuring cost-effective outcomes.
• Intellectual Property (IP) & Brand Protection
• Register and protect trademarks, copyrights, and patents related to KULT's brand, technology, and content.
• Monitor the market for counterfeit products, IP violations, and unauthorized use of brand assets.
• Develop enforcement strategies to protect KULT's reputation and IP portfolio.
• Strategic Transactions (Equity & Debt)
• Lead all legal aspects of equity fundraising, from due diligence to negotiation of term sheets, SHA, and investment agreements.
• Partner with external advisors, investors, and financial institutions on debt arrangements, credit facilities, and compliance requirements.
• Structure financing deals to balance growth needs with regulatory and compliance obligations.
• Provide ongoing support on investor relations and reporting.
• Risk Management & Policy Development
• Identify potential legal risks across operations, HR, marketing, and partnerships.
• Draft internal policies (POSH, anti-bribery, whistleblower, workplace ethics, and compliance frameworks).
• Conduct periodic compliance audits and trainings for employees.
• People Leadership & Team Development
• Build and lead a strong in-house legal and compliance team.
• Mentor team members, set performance goals, and ensure continuous learning.
• Foster a culture of ownership, transparency, and accountability in the legal function.
