Job Summary:
We are seeking a qualified and experienced Company Secretary to manage legal, regulatory, and corporate governance responsibilities for our hotel group.
Key Responsibilities:
Statutory Compliance & Corporate Governance:
- Ensure compliance with Companies Act, FEMA, SEBI, and other applicable laws.
- Maintain statutory registers, records, and filings with the ROC/MCA.
- Organize and draft minutes for Board Meetings, AGMs, and EGMs.
- Ensure timely filing of annual returns, financial statements, and other company law-related forms.
- Advise the board on corporate governance best practices.
Legal & Regulatory:
- Liaise with regulatory bodies (ROC, MCA, SEBI, etc.).
- Handle legal documentation, contracts, and lease agreements.
- Assist in due diligence and audits.
- Monitor changes in relevant legislation and the regulatory environment.
Board & Shareholder Relations:
- Coordinate board meetings, issue notices, prepare agendas, and record minutes.
- Manage communication with shareholders and handle share transfers, dividend distribution, etc.
Hotel Industry Specific Tasks (Optional based on company needs):
- Manage licenses and approvals related to hotel operations (e.g., FSSAI, liquor license, pollution control board, fire NOC).
- Support legal aspects of land acquisition, hotel construction, and franchising (if applicable).
Required Skills & Qualifications:
- Member of ICSI (mandatory).
- Minimum [X] years of experience in corporate secretarial roles, preferably in the hospitality or service industry.
- Sound knowledge of corporate laws, labor laws, and governance principles.
- Strong organizational, communication, and interpersonal skills.
- Attention to detail and ability to manage confidential information.
