Contract Specialist

Job Summary

Contract Specialists are primarily responsible for the drafting, review, management, and oversight of contracts , ensuring compliance with corporate contracts and manageable risks. They also support business departments in smoothly executing various projects and transactions. This position requires knowledge of contract law and related regulations, as well as risk awareness and communication and coordination skills . They serve as a vital bridge between a company's legal, finance, and business departments.

Main Responsibilities

  1. Contract drafting and review

Draft various contracts (purchase, sales, service, confidentiality, lease, etc.) according to business needs.

Review the legality, compliance and risk points of contract terms.

Ensure that the contract content complies with company policies and laws and regulations.

  1. Contract negotiation and coordination

Assist business departments in negotiating contract terms with suppliers and customers.

Provide risk analysis and modification suggestions for contract terms.

Coordinate opinions among internal departments to ensure that the contract is in line with the overall interests of the company.

  1. Contract management and archiving

Establish and maintain a contract management system to ensure contract traceability.

Track contract execution and monitor key deadlines and obligation fulfillment.

Update contract status promptly to ensure information is complete and accurate.

  1. Risk Control and Compliance

Identify potential legal risks during contract execution and propose solutions.

Ensure contract processes comply with company policies and relevant regulations.

Assist internal audit and legal departments with contract review and risk investigation.

  1. Reporting and Analysis

Regularly summarize contract execution status and key risk issues and submit them to management.

Analyze contract terms, fulfillment, and supplier performance, and make recommendations for improvements.

Job requirements

Bachelor degree or above in law, economics, business administration or related majors.

Familiar with contract law, company law and related laws and regulations.

Experience in contract drafting, review and management.

Possess good communication skills, negotiation skills and risk awareness.

Proficient in using office software and contract management systems.
