Job Title: Finance and Administrative Secretary
Location: Bangalore, India
Reports To: CEO
Job Summary: The Finance and Administrative Secretary will play a crucial role in ensuring the startup adheres to statutory and regulatory requirements while maintaining high standards of corporate governance. This role involves managing the company's finance, legal and compliance matters, administrative matters and bookkeeping with documentations ensuring effective communication between the management, and service providers/vendors.
Key Responsibilities:
- Manage companies day to day financials and legal compliances with clear documentations.
- Ensure compliance with the Companies Act, SEBI regulations, and other relevant laws.
- Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
- Take minutes, draft resolutions, and lodge required forms and annual returns with regulatory authorities.
- Organise administrative items and procure goods as per budget.
- Preparation and bookkeeping of daily administrative documents.
Compliance:
- Develop and oversee the implementation of the company's compliance program.
- Monitor and report on compliance with regulatory requirements and internal policies.
- Conduct regular audits and assessments to ensure compliance with laws and regulations.
- Liaise with regulatory bodies such as SEBI and the Ministry of Corporate Affairs (MCA).
Legal:
- Draft, review, and negotiate contracts, agreements, and other legal documents.
- Ensure the company's intellectual property is protected.
Risk Management:
- Identify and assess potential risks to the company.
- Develop and implement risk management strategies and policies.
- Report on risk management activities to the CEO.
Qualifications:
- Bachelor's degree in Law, Commerce, Finance, Business Administration or any related field
- Minimum of 2 years of experience in a similar role, preferably in a startup environment.
- In-depth knowledge of corporate governance, compliance, and legal matters.
- Excellent organizational, communication, and interpersonal skills.
- Strong attention to detail and ability to work under pressure.
Skills and Competencies:
- Strong understanding of corporate law and regulatory requirements in India.
- Ability to manage multiple tasks and prioritize effectively.
- High level of integrity and ethical standards.
- Proficiency in using Word, Excel, Power point, finance management, legal and compliance management software.
- Adaptability, fast learner and willingness to work in a dynamic startup environment.
Working Conditions:
- Full-time position.
- Occasional travel may be required.
- Ability to work flexible hours, including evenings and weekends, as needed.
