Position Overview

We are seeking a proactive and detail-oriented Company Secretary with 5+ years of experience, preferably in listed companies. The role ensures statutory and regulatory compliance, supports corporate governance practices, and contributes to effective board and committee processes. The candidate will also provide expertise in IPO processes, mergers & acquisitions, legal compliance, and corporate restructuring, including work under the Insolvency and Bankruptcy Code (IBC).

Key Responsibilities

  • Ensure compliance with the Companies Act, SEBI (LODR) Regulations, and other applicable laws.
  • Organize and manage Board Meetings, Committee Meetings, and General Meetings, including drafting agendas, minutes, and resolutions.
  • Handle timely filings with MCA, SEBI, NSE, and other regulatory bodies.
  • Maintain all statutory records and registers as per company law requirements.
  • Monitor changes in relevant legislation and regulatory environment and implement necessary actions.
  • Draft and review Annual Reports, Directors Reports, and Secretarial Audit Reports.
  • Manage investor relations, coordinate with RTA, and handle shareholder communications.
  • Support IPO processes, M&A transactions, corporate restructuring, and due diligence.
  • Ensure compliance under the Insolvency and Bankruptcy Code (IBC) where applicable.
  • Provide general legal support and advisory for corporate matters.
  • Liaise with internal and statutory auditors, legal advisors, and regulators.
  • Implement and improve digital tools for compliance management and secretarial automation.

Required Qualifications & Skills

Must-have:

  • Membership with The Institute of Company Secretaries of India (ICSI)
  • 5+ years experience handling CS functions, preferably in a listed company
  • Strong knowledge of company law, SEBI regulations, corporate governance practices, IPO processes, M&A, and IBC compliance
  • Excellent written and verbal communication skills
  • Proficiency in MS Office, compliance tools, and online filing platforms
  • Well-versed in Industrial Relations
  • Experience in legal advisory and corporate compliance

Preferred:

  • Additional LLB qualification
  • Familiarity with XBRL, SEBI PIT (insider trading compliance), and SDD (system-driven disclosures) tools
  • Experience in implementing digital compliance tools and secretarial automation
