Role Overview:

The Company Secretary Head will be responsible for ensuring compliance with corporate laws, governance frameworks, and regulatory requirements.

He/she will play a strategic role in advising the board and senior leadership on legal, risk, and compliance matters.

Key Responsibilities:

Corporate Governance & Compliance:

  • Ensure adherence to all statutory and regulatory requirements under the Companies Act and other applicable laws.
  • Act as the primary liaison between the company, regulatory authorities, and stakeholders.
  • Manage board meetings, AGMs, EGMs, and ensure accurate documentation of minutes.
  • Ensure timely filing of statutory returns, disclosures, and reports.

Legal & Risk Management:

  • Provide legal counsel to the board and senior management on corporate governance, regulatory matters, and risk mitigation.

  • Monitor changes in legislation and ensure compliance with new laws and regulations.

  • Oversee contract management, shareholder agreements, and M&A due diligence.

Stakeholder Management:

  • Work closely with investors, shareholders, auditors, and external legal advisors.

  • Support investor relations and corporate communications from a legal perspective.

Leadership & Strategic Initiatives:

  • Lead the secretarial and legal team, ensuring alignment with business goals.

  • Implement best practices in corporate governance and compliance.

  • Contribute to corporate strategy, risk management, and business sustainability initiatives.

Key Requirements:

  • Qualified Company Secretary (CS) and LLB with 15 years of experience in corporate governance, regulatory compliance, and legal advisory roles.

  • Experience of filing DHRP documents and getting approved from SEBI.

  • Extensive knowledge of the Companies Act, SEBI regulations, FEMA, and corporate laws.

-Experience of complying with Stock Exchange, RBI, ROC, Competition, Commission etc

-Knowledge of regulations related to Licences (DGFT+IEM etc) + Govt Subsidies.

-Knowledge of Labour Law rules and compliance

  • Strong leadership, communication, and stakeholder management skills.

  • Experience working in a CXO capacity or with Board-level leadership is preferred.

  • Ability to handle confidential and high-stakes legal matters with discretion.
