Role Summary

We are looking for a diligent, detail-oriented Corporate Secretary to support our board of directors and senior management in ensuring legal, regulatory, and governance compliance. The ideal candidate will be proficient in company secretarial practices under Indian law, have excellent communication skills, and be able to interact confidently with internal and external stakeholders.

Key Responsibilities

  • Organize, schedule, and coordinate board meetings, annual general meetings, committee meetings etc.
  • Prepare, distribute and maintain agendas, meeting notices, minutes, resolutions and follow up on action items.
  • Maintain statutory books, registers, records, filings with ROC/MCA, and ensure compliance under the Companies Act, SEBI (if applicable), and other relevant laws/regulations.
  • Monitor changes in relevant legislation and regulatory requirements and advise management / board of implications.
  • Liaise with auditors, registrars, legal counsel and external regulatory bodies.
  • Assist with drafting, reviewing, and filing of annual returns, share transfers, other secretarial documentation.
  • Ensure that board decisions are properly documented and implemented.
  • Handle correspondence, report preparation, and any ad hoc secretarial tasks assigned by the board or senior management.

Qualifications & Skills

  • Qualified Company Secretary (Member of ICSI) (ACS / FCS), or equivalent legal / business qualification.
  • Bachelor's degree in Law / Commerce / Business Administration or related field.
  • Minimum 2 to 5 years experience in corporate secretarial / governance role. Prior experience in listed company / audit / compliance preferred.
  • Strong knowledge of Companies Act, corporate governance norms, compliance & regulatory filings.
  • Excellent written & verbal communication skills in English; Tamil knowledge is a plus.
  • High level of discretion, ethics, integrity, and ability to manage confidential data.
  • Strong organizational skills, attention to detail, ability to multitask and meet deadlines.
  • Proficiency in MS Office; familiarity with secretarial software/tools is a plus.
