A dynamic and growing organization seeking a qualified Company Secretary who will be responsible for ensuring statutory compliance, corporate governance, and regulatory reporting. The role requires sound knowledge of Companies Act, SEBI regulations, and MCA filings, along with strong governance and communication skills.
Role Overview
The Company Secretary will oversee secretarial compliances, support board governance, manage statutory filings, and ensure adherence to all regulatory frameworks applicable to the company.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013 and related rules & regulations
- Advise management on company law matters and latest regulatory amendments
- Handle SEBI compliance requirements and listing obligations (if applicable)
- Manage filings and documentation through the MCA V3 portal
- Prepare and maintain statutory registers, records, and secretarial files
- Draft and review board resolutions, minutes, notices, and agendas
- Coordinate and facilitate Board Meetings, Committee Meetings, and General Meetings
- Liaise with regulatory authorities, statutory bodies, and auditors
- Monitor corporate governance practices and ensure timely compliance reporting
- Ensure timely filing of annual returns, forms, and other statutory documents
Required Skillsets
- Strong knowledge of Companies Act, 2013, Rules, and latest amendments
- Good understanding of SEBI provisions and Listing Regulations (if applicable)
- Hands-on experience with MCA V3 portal and statutory filings
- Proficiency in drafting resolutions, minutes, notices, and corporate legal documents
- Good understanding of corporate governance, board procedures, and secretarial standards
- Strong written and verbal communication skills
- Detail-oriented with strong documentation and compliance accuracy
- Ability to manage deadlines, maintain confidentiality, and work with senior stakeholders
- Proficiency in MS Office and modern compliance tools/software
