Overview:

We are seeking a highly motivated and detail-oriented Associate to join our team, specializing in corporate, venture capital, and transactional advisory. The role involves active involvement in structuring, negotiating, and closing deals, conducting due diligence, and advising on general corporate matters for startups and investors.

Key Responsibilities:

  • Structure and execute venture capital and M&A transactions.
  • Draft and negotiate legal documents including:
  • Term Sheets
  • Share Subscription Agreements (SSA)
  • Share Purchase Agreements (SPA)
  • Shareholders' Agreements (SHA)
  • Convertible Notes, SAFE instruments
  • Co-Founders' Agreements
  • Escrow Agreements
  • ESOP Policies and Advisory Stock Agreements
  • Conduct legal and compliance due diligence for startups and prepare due diligence reports.
  • Handle transaction closing formalities and compliance documentation.
  • Provide legal advice on general corporate and commercial matters.
  • Work closely with internal teams and external stakeholders including investors, startups, and legal counsels.

Required Qualifications:

  • Bachelor's degree in Law (LLB) from a recognized institution.
  • Minimum 3 years PQE in corporate and commercial law (merit-based consideration applies).

Skills and Experience:

  • Strong legal drafting and negotiation skills.
  • Experience with venture capital, private equity, M&A transactions.
  • Prior experience in a law firm or in-house legal role within a commercial setting.
  • Ability to handle multiple stakeholders and prioritize effectively.
  • Exposure to cross-jurisdictional transactions will be an added advantage.
  • Familiarity with business-related legal domains: IP, employment law, compliance, antitrust, and corporate governance.
