We are hiring for one of our Aerospace manufacturing client.

Position- Head -Lead and Compliance

Location- Devanahalli

Experience 12+yrs relevant

Key Responsibilities:

Legal & Regulatory Compliance

    • Ensure full compliance with applicable laws including Companies Act, SEBI LODR

Regulations, Insider Trading Regulations, and other SEBI guidelines.

    • Liaise with regulatory bodies such as SEBI, NSE, BSE, ROC, and MCA for timely filings

and disclosures.

    • Oversee statutory compliance across business operations, including aerospace-specific

regulations.

Corporate Governance

    • Advise the Board and senior management on legal and regulatory matters.
    • Draft and review board resolutions, notices, minutes, and ensure governance best

practices.

    • Support the Company Secretary in secretarial compliance and filings.

Contract Management

    • Draft, review, and negotiate commercial contracts including vendor agreements,

technology licenses, and strategic partnerships.

    • Maintain a centralized contract repository and conduct periodic risk assessments.

Litigation & Dispute Resolution

    • Manage all litigation and pre-litigation matters across civil, commercial, and regulatory

forums.

    • Coordinate with external counsel for effective representation and strategy.

Intellectual Property (IP)

    • Safeguard the companys IP assets including patents, trademarks, and copyrights.
    • Handle IP infringement and brand protection matters.

Compliance Leadership

    • Develop and implement internal policies (Code of Conduct, POSH, Whistleblower,

Insider Trading, etc.).

    • Monitor regulatory changes and ensure timely adaptation and communication.

Team Leadership

    • Lead and mentor a team of legal professionals and compliance officers.
    • Conduct legal awareness and training programs across departments.

Qualifications &

Experience:

    • Education: LLB (mandatory), LLM or Company Secretary (preferred).
    • Experience: Minimum 12-20 years in legal roles, with at least 5 years in a listed

company (NSE/BSE).

    • Strong understanding of SEBI regulations, corporate governance, and aerospace

industry compliance.

    • Excellent drafting, negotiation, and communication skills.
    • Proven leadership and stakeholder management capabilities.
