The Head of M & A, Contracts will lead the legal team responsible for managing and overseeing all Mergers & Acquisitions , Divestments contractual matters across the organization. This role involves providing strategic legal advice, ensuring compliance, and mitigating risks associated with contracts.

The position reports directly to the Group General Counsel and requires close collaboration with various business units.

Key Responsibilities

  • Oversee the drafting, review, negotiation, and finalization of contracts, including EPC contracts, development projects, joint ventures, investment, divestment, M&A, procurement agreements, HR related contracts, and other commercial contracts.
  • Study, analyze contract/sub-contract documents, joint venture/consortium agreements, shareholders' agreements, co ordinate, negotiate with the customers to protect organization interest.
  • Mergers & Acquisitions, Partnerships - Advice, initiate, draft, present, follow-up on incorporation/ dissolution of joint venture companies as well as documentation of acquisition /divestment of companies both in India and abroad to achieve strategic business plan of the company. Help concluding the transaction in a timely manner through various required documentation post negotiation.
  • Conduct regular research on case laws, statute changes, government policies etc having a direct impact on operations and advise to corporate management.
  • Identify and mitigate legal risks associated with contracts, ensuring compliance with applicable laws and regulations.
  • Provide strategic legal advice to senior management and business units on contractual matters and related legal issues.
  • Lead and mentor a team of legal professionals, fostering a culture of excellence and continuous improvement.
  • Collaborate with internal and external stakeholders, including clients, vendors, and regulatory authorities, to ensure smooth contract execution.
  • Manage and resolve contractual disputes in partnership with Group Head of Litigation & Arbitration.
  • Develop and implement policies and procedures related to contract management and compliance.
  • Conduct knowledge sharing sessions for stakeholders including employees on legal aspects of contracts, risk management. Regular knowledge sharing sessions among the legal team to have uniform practices.
