Position Summary: The Company Secretary will play a pivotal role in ensuring the company's compliance with statutory and regulatory requirements, governance, and best practices. This role involves a wide range of responsibilities, including overseeing the company's secretarial functions and corporate governance processes.
Key Responsibilities: Corporate Governance:
  • Ensure adherence to corporate governance guidelines and compliance with all applicable laws, regulations, and listing requirements.
  • Organize and manage board and committee meetings, including preparation of agendas, minutes, and resolutions.
  • Facilitate effective communication between the board of directors, senior management, and shareholders.
Statutory Compliance:
  • Ensure the company complies with all relevant statutory and regulatory requirements.
  • Monitor changes in laws and regulations that may impact the company's operations and provide timely advice to management.
Annual Reports and Filings:
  • Oversee the preparation and filing of annual reports, financial statements, and other statutory documents with regulatory authorities.
  • Coordinate with internal departments and external agencies to ensure timely and accurate submissions.
Secretarial Functions:
  • Manage all secretarial functions, including the maintenance of statutory registers, records, and books.
  • Handle matters related to share transfers, dividends, and other investor services.
Compliance Audits:
  • Conduct regular internal audits to assess compliance with statutory requirements.
  • Assist external auditors during the annual audit process.
Legal Support:
  • Provide legal support on corporate and contractual matters.
  • Review and draft legal documents and agreements as required.
Risk Management:
  • Identify and mitigate corporate governance and compliance risks.
  • Develop and implement risk management strategies and policies.
Stakeholder Relations:
  • Foster positive relations with regulatory authorities, stock exchanges, and other stakeholders.
  • Address shareholder queries and concerns effectively.
Qualifications:
  • A qualified Company Secretary (CS) with 3+ years of relevant experience in Private Ltd/Trust
 Companies.
  • In-depth knowledge of corporate governance, company law, and regulatory compliance.
  • Strong understanding of the regulatory environment for companies in India.
  • Excellent communication and interpersonal skills.
  • Proficient in MS Office applications and corporate secretarial software.
  • High attention to detail and the ability to work independently.
