Job Responsibilities:

Legal Transformation:

1. Assess Current State: Work with the GC to evaluate the current legal team's structure, processes, and technology to identify areas for improvement.

2. Develop, Vision and Mission statement and Transformation Roadmap: Assist the GC to formulate  the vision and mission statement as well as a comprehensive roadmap for transforming the legal  and secretarial function, including recommendations for process improvements, technology adoption, and talent development.

2. Implement Changes: Lead the implementation of the transformation roadmap, working closely with General Counsel and other stakeholders.

2. Digitization and  Technology Implementation: Identify areas for Evaluate and implement legal technology solutions/tools to enhance efficiency, productivity, and collaboration. Lead digital initiatives for the legal team.

2. Process Optimization:  Get guidance from GC & other senior leaders/ stakeholders to identify, develop and implement streamlined processes/SoPs for legal operations, including Contracts management, IP Portfolio management , Litigation management, and Compliance (upgrade and cover EBU) . Implementing and creating awareness amongst team and stakeholders for the processes.

2. Training & Development:  Work with GC to Develop and implement training programs for team and other stakeholders to enhance the skills and expertise.

2. Stakeholder Management: Collaborate with stakeholders across the organization to ensure alignment with GC and support for the transformation initiative.

2. Change Management: Support GC to develop and implement change management strategies to ensure a smooth transition to the new legal team structure and processes.

2. Standardization of templates: Reviewing and drafting templates as per business requirements. 

Business Advisories and Contract reviews:

2. Strategic Legal Advisory support in key /new projects:

   2. Advising & supporting on  legal implication of entering into a new Project
   3. M&A Support : Due diligence, transaction structuring, and integration planning.
   4. Joint Ventures/ Alliances: Structuring partnerships to align with business goals while protecting the company's interests.

2. Contract Management & Negotiation (Both Frontend and Back end)

   2. Commercial Agreements: Drafting reviewing and negotiating supplier, customer, licensing and service contracts.
   3. Standardization : Creating templates and playbooks for faster turnaround and risk control
   4. Risk Allocation: Advising on indemnities, warranties, and liability clauses to align with business risk appetite.

2. Employment Law and supporting People Strategy including on CSR

   3. Executive Contracts : Reviewing employment terms & incentives of Senior Executive, India or Overseas or Consultancy Contracts

   2. Data Governance : Advising on collection, processing, and transfer of personal data in line with GDPR, DPDP etc
   3. Incident Response Plans: Assisting with breach response, including regulatory notification
   4. Technology Contracts : Advising on SaaS, Cloud and data-sharing agreements, especially for EVs.
