Job Description: Executive Corporate Affairs

Location: Delhi

Reports To: Company Secretary & Compliance Officer

PARIJAT INDUSTRIES (INDIA) PVT. LTD. : Manufacturing Company having retail distribution network, import, Export having Corporate Office at South Delhi multi location manufacturing facilities in North India and South India with international presence through its various offices and subsidiaries.

Job Purpose

To support the Company Secretary in ensuring timely compliance with all statutory, and regulatory requirements applicable to a listed company, and to assist in maintaining sound corporate governance practices

Key Responsibilities:

1. Support in Statutory and Regulatory Compliance

  • Assist in compliance with the Companies Act, 2013, SEBI (LODR) Regulations SEBI (ICDR) Regulations, SEBI (PIT) Regulations, and other applicable laws.
  • Help prepare and file statutory forms, returns, and reports with MCA, SEBI, Stock Exchanges, and RBI
  • Maintain and update statutory registers and records as required under the
  • Companies Act and Secretarial Standards.

2. Board and General Meeting Support

  • Draft agendas, notices, resolutions, and minutes for Board Meetings, Committee Meetings, and General Meetings.
  • Coordinate logistics for meetings and maintain records of board decisions and follow-up actions.
  • Assist in preparation of annual reports and other shareholder communications.

3. Corporate Governance & Disclosures

  • Support in preparation and filing of corporate governance reports, shareholding patterns, and event-based disclosures to stock exchanges.
  • Help monitor compliance with the companys internal policies and SEBI requirements related to insider trading and corporate disclosures.
  • Maintain Structured Digital Database (SDD), monitor trading windows, and assistance in enforcement of Code of Conduct.

4. Liaison and Coordination

  • Coordinate with Registrar & Transfer Agents (RTA), auditors, consultants, and regulatory authorities.
  • Address queries from shareholders and stakeholders under supervision of the Company Secretary.
  • Assistance on coordination with Investors and to resolve their queries

5. Secretarial Audit and Documentation

  • Support secretarial audit processes under Section 204 of the Companies Act.
  • Assist in drafting policies, codes of conduct, board resolutions, and legal documentation.

Qualifications & Experience

  • Educational Qualification:

  • Member or Associate Member of the Institute of Company Secretaries of India (ICSI)

  • Law or commerce background is a plus.

  • Experience:

  • 3-5 years of relevant experience in corporate secretarial function in a listed entity or reputed practicing CS firm handling Listed entities.

Skills & Competencies

  • Good understanding of the Companies Act and SEBI regulations.
  • Excellent drafting and documentation skills.
  • Familiarity with filing platforms like MCA, NSE/ BSE Listing Centres, and SEBI SCORES.
  • Proficiency in MS Office (Word, Excel, PowerPoint).
  • Strong ethics, attention to detail, and good organizational skills.
