Job Description:

Required Skill sets ( including the qualitative skills)

1. Preparation of notices, agenda, notes on agenda, backup documents, minutes, registers

and other statutory records.

2. Convening board & general meeting.

3. Filing of applicable forms with RoC.

4. Filing of applicable forms, returns with RBI w.r.t. FDI.

5. Ensuring compliance of applicable law concerning the company specifically but not limited to Sch 8 of the SHA.

6. Submitting monthly compliance report on status of statutory compliances, compliance of shareholders agreement, lending documents, Legal contracts, status of legal documents, compliance of SOPs.

7. Responsible for monthly/quarterly/annual and event-based reporting to the investor in

8. time bound manner.

9. Keeping track of actions discussed during board meeting and following up with all concerned.

10. Seeking waiver/consent/NOC from the investor/lender.

11. Responsible for ensuring SOPs/policies are in place.

12. Confirming applicable SOPs/policies are followed.

13. Setting up compliance management system.

14. Co-ordinating with RoC, RBI, NSDL, DP etc.

15. Co-ordinating with FC, Legal Consultants, Internal Auditor, Statutory auditor, promoters,

16. directors, investors.

17. Leading Legal Due Diligence including setting up of dataroom etc.

18. Assisting in filings in relation to applicable employment and labour laws with the relevant Governmental Authorities.

19. Ensuring compliance of Company's obligations under shareholder agreements.

20. Drafting of investor consents, letters, intimations, reports as may be required under the

21. shareholder agreements.

22. Review of any commercial arrangements, agreements, financing agreements, MOUs, term sheets or any other documentation that the company may enter into in its course of Business.

23. Ensuring Due Compliance with the provisions of Franchisee Agreements by Franchisees.

Required Skill sets ( including the qualitative skills)

  1. Knowledge of Companies Act and other laws
  2. Candidate must be interested in research and analysis of legal compliances under various corporate laws.
  3. Must possess good knowledge and understanding of corporate laws like Companies Act, 2013 and its rules, various SEBI regulations, FEMA etc.
  4. Must be capable of keeping track of changing laws.
  5. Have good communication and interpersonal skills.
  6. Must be good in drafting and working on excels.
  7. Must be enthusiastic and self-motivated.
  8. Have basic computer skills.
