Role Overview
The Company Secretary will act as a key managerial personnel (KMP) and compliance officer, responsible for ensuring adherence to all corporate, legal, regulatory, and governance requirements for the company. The role is critical in supporting business expansion, maintaining statutory compliance (ROC, FSSAI, GST, Labour), and facilitating smooth interaction with the board, investors, regulators, and other stakeholders.
Key Responsibilities
1. Statutory & Legal Compliance
- Ensure compliance with the
Companies Act, 2013
and other applicable laws. - Prepare and file statutory returns and forms with the ROC (MGT-7, AOC-4, DIR-12, etc.).
- Maintain statutory registers (members, directors, contracts, charges).
- Oversee
FSSAI compliance
– licensing, renewals, and packaging/labeling requirements. - Coordinate with external regulators and authorities (MCA, SEBI, FSSAI, GST).
2. Corporate Governance & Board Support
- Organize and conduct
Board Meetings, AGMs, and EGMs
, prepare agendas, and draft minutes. - Advise directors and senior management on corporate governance best practices.
- Draft board resolutions and maintain compliance records.
- Liaise with auditors, legal advisors, and regulators on governance matters.
3. Strategic Business & Expansion Support
- Structure legal entities for
new factories, warehouses, and distribution centers
across India. - Manage
intellectual property
(trademarks for brand names, flavours, packaging). - Draft, review, and negotiate contracts with
distributors, retail chains, logistics providers, and food aggregators (Swiggy, Zomato, Instamart, etc.)
. - Assist in
fundraising (private equity/VC), investor due diligence, and secretarial audit
.
4. Financial & Tax Compliance
- Coordinate with finance team on
GST, TDS, and corporate tax compliance
. - Manage compliance for
dividend declarations, shareholding changes, ESOPs
. - Support in
capital raising, mergers, acquisitions, and due diligence exercises
.
5. HR & Labour Law Compliance
- Ensure compliance with
labour laws (PF, ESI, gratuity, minimum wages, maternity, contract labour)
for factory and retail staff. - Draft HR-related policies from a compliance perspective.
Qualifications & Skills
- Qualified Company Secretary (ACS/CS membership of ICSI)
– mandatory. - 3–7 years of experience in
FMCG, food & beverages, or manufacturing sector
preferred. - Strong knowledge of
Companies Act, FSSAI regulations, GST, SEBI (if listed)
. - Excellent drafting, communication, and stakeholder management skills.
- Ability to handle
multiple compliance requirements across states
. - Exposure to
fundraising, investor reporting, and due diligence
is an advantage.
