Job Description:
Role Overview:
We are seeking an experienced Counsel to join our dynamic Legal team. This role is critical to ensuring the continuity of essential legal functions that directly impact our business operations, compliance, and overall risk mitigation. We are expanding our team to meet the increased demand and maintain our high standards of legal support across the organization.

Key Responsibilities:

- Contract Management and legal support:

- Review, draft, and negotiate a wide range of commercial contracts (MSAs, SOWs, NDAs, vendor and supplier agreements).
- Provide legal support across direct and indirect procurement processes.
- Review Data Protection Agreements and coordinate privacy impact assessments for contracts involving personal data.
- Provide legal support on day-to-day legal queries from internal stakeholders, including the business, finance, and operations teams.
- Vendor & Facilities Legal Support:

- Ensure timely onboarding of vendors from a legal and compliance standpoint.
- Support facilities management with necessary legal documentation and compliance oversight.
- Corporate & Regulatory Compliance:

- Responsible for maintaining and enhancing the company's privacy program to ensure ongoing compliance with applicable data protection laws, internal policies, and industry best practices.
- Handle legal compliance matters, including corporate governance, data privacy, and regulatory issues.
- Support the compliance program, particularly in relation to AI technologies and data privacy laws including EU AI act.
- Audit Support:

- Provide legal support for internal and external audits.
- Ensure audit findings are addressed through appropriate legal and compliance measures.
- Employment Law & HR Support:

- Advise HR on employment law matters, internal policies, and compliance with labor laws.
- Draft and review employment-related agreements and policies.
- M&A Integration Legal Support:

- Assist in post-acquisition legal integration activities.
- Mitigate legal risks associated with increased operational complexity following acquisitions.
- Additional Legal Support:

- Assist with various ad hoc legal matters and projects as needed.
- Manage legal tech tools and assist in optimizing legal operations for efficiency and effectiveness.
- Advise on the implementation and use of legal technologies to streamline workflows and improve legal processes.
- Ensure that contracts and legal documentation are properly organized, tracked, and stored.

Requirements:

- Bachelor’s degree in Law (LL.B or equivalent); Master’s degree or professional certifications preferred.
- 3-7 years of experience in commercial law, preferably within an in-house legal department.
- Strong experience in contract drafting, negotiation, and management, particularly in customer and vendor agreements.
- Strong understanding of contract law, employment law, and regulatory compliance.
- Experience in using CLM tools (e.g. Ironclad, Streamline, Icertis, Linksquare) is preferred.
- Good knowledge of artificial intelligence, data privacy laws (such as GDPR, CCPA), and emerging technology regulations is a plus
- Experience supporting M&A transactions and integrations is a plus.
- Excellent negotiation, drafting, and communication skills.
- Ability to work independently and manage a high volume of complex legal work under tight deadlines.
