We are seeking a highly motivated and experienced Corporate Secretary to join our team. As a Corporate Secretary, you will be responsible for a wide range of Secretarial matters, ensuring compliance and efficient administration for our clients. Your role will involve handling various tasks related to company incorporation, dissolutions, changes in objectives, registered office, annual compliance forms, and changes in share capital.
- Drafting of notice, agenda, Minutes of the Board, Committees and General Meetings
- Draft and Review of various contracts, agreements, SOW’s and various policies applicable to the Company
- Drafting of Annual Reports, Annual Returns and other documents
- Prepare, maintain and update the statutory and other registers under the provisions of Companies Act and other applicable laws
- Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
- Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
- Take an active role and provide valuable input to the management decisions related to sharing issues, mergers, and takeovers.
- Manage contractual agreements with suppliers and customers.
**Requirements**:
- Proven experience as a Corporate Secretary or similar role.
- Strong knowledge of company Secretarial practices, corporate law, and compliance requirements.
- Excellent organizational and multitasking skills, with meticulous attention to detail.
- Effective communication and interpersonal skills.
- Ability to work independently and as part of a team, managing priorities effectively.
- Strong problem-solving and decision-making abilities.
- Flexibility to adapt to changing regulations and working environments.
- Professionalism and integrity in handling sensitive and confidential information.
