**Job Summary**:
**Roles and Responsibilities**:
- Ensure compliance with Companies Act and other statutory obligations.
- Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
- Take minutes, draft resolutions, and lodge required forms and annual returns with the relevant authorities.
- Maintain statutory books, including registers of members, directors, and secretaries.
- Advise the board on corporate governance matters and support the development of corporate strategies.
- Coordinate with external regulators and advisers, such as lawyers and auditors.
- Handle all company filings, including annual reports, secretarial records, and shareholder communications.
- Task or suggestion as required by Chartered Accountant or management members.
- Support mergers, acquisitions, and restructuring processes from a legal and compliance standpoint.
**Requirements**:
- Qualified Company Secretary with membership of ICSI.
- Freshers or 1-2 years of relevant post-qualification experience.
- Strong knowledge of corporate laws, SEBI regulations, FEMA, and listing agreements.
- Excellent drafting, communication, and interpersonal skills.
- Ability to handle confidential information with discretion.
