This role provides legal advice and company secretarial support primarily to the ANZ Group Capability Centre at Bengaluru in India (the supported business). The supported business comprises ANZ Operations and Technology Private Limited and ANZ Support Services India Private Limited, which together support Australia and New Zealand Banking Group Limited (ANZ) globally. The Lawyer provides legal and company secretarial support required by the supported business and ANZ. The Lawyer will also support the risk, compliance and enablement partners primarily in Bengaluru, India and across the supported regions.

What will your day look like

The holder of this role must be capable of proactively carrying out the following activities for the supported business and ANZ on matters up to a complex level, with medium supervision:
provide general legal and company secretarial advice on the day-to-day operational issues and matters with a focus on being proactive.

help resolve the supported business’ legal, regulatory or customer problems.

help assess and implement regulatory change, strategic change, and growth initiatives.

negotiate and draft documentation and assist with execution of the supported business’ agreements relating to its activities including contracts with ANZ and other related group entities and with third parties.

provide regulatory advice and advice on compliance with or breach of the law (including breach reporting) on the regulatory issues facing the supported business, including as necessary interactions with regulators.

provide advice on the entry into and governance of the principal activities undertaken by the supported business.

provide advice on and assistance with the remediation activities, regulatory enquiries or investigations, requests for information, disputes, complaints or other issues faced by the supported business.

supervise or oversee (or as necessary provide advice and support on) governance and company secretarial support of businesses or entities where not supported by the Company Secretary’s Office.

provide advice on the entry into, ongoing maintenance and resolution of issues relating to the strategic contracts and tenders undertaken by the supported business.

develop and maintain legal documentation, templates, guides and checklists, ensuring consistency of documentation with ANZ, where possible, and compliance with local laws and regulations.

help Senior Lawyers and Heads of Legal to be in a position to assist stakeholders understand the legal and regulatory landscape and its impact on their activities, projects and initiatives.

Contribute to maintaining a well-managed business by identifying, raising and managing legal and regulatory risks and issues.
Support the business and its operations and risk partners to understand the legal and regulatory landscape, global trends and risks in the execution of their strategic plans, helping to implement changes as appropriate.
Collaborate across L&CG, contributing towards the provision of seamless service to the supported business.
Engagement of external legal advisers in a manner that ensures value for money and appropriate cost control and where possible keeps work in-house rather than briefing external lawyers.

‘Must have’ knowledge, skills and experiences

5 years or more post-qualification experience as a lawyer (either in-house counsel and/or in private practice) with strong technical legal expertise in banking and finance law and proven ability to exercise excellent judgement in the identification and management of legal risk
Strong understanding of the business of banking and role of institutional banking and has started to develop a good understanding of the specific business and region
