**What We'll Bring**:
Supporting Senior Counsel in the UK in the creation of client contracts, specifically in relation to the drafting and incorporation of payment schedules and information security and employee screening schedules. Working with Senior Counsel and UK Finance team to create and maintain a payment schedule playbook/set of rules. Working with Senior Counsel and UK Information Security team to create and maintain an information security and employee screening playbook/set of rules. Creating standard form/low value client contracts and contractual documentation using internal contract building systems. Creating variations for client contracts, where the variations largely relate to changes in: (a) the charging schedule, (b) term, or (c) relate to a change in product requirements. Assisting on the execution of bulk change projects where large numbers of contracts require similar or same changes. Undertaking a variety of post-signature activities in relation to contracts including responding to (some) contract queries and undertaking contract reviews under the direction of UK Legal. Supporting on creation of and maintaining a database of key contracts’ key terms. Supporting Senior Counsel on responding to tender questions, including maintaining (or supporting the maintenance of) a central repository of template or precedent responses. Supporting the generation (by non-legal SMEs) of contractual documentation (e.g., with respect to software delivery contracts).

**Key tasks and accountabilities**:

- Development, hosting and maintenance of materials relating to payment schedules, information security/employee screening schedules and other, specialist materials peripheral to the main terms of agreements.
- Development, hosting and maintenance of methodologies to ensure capture of payment schedules, information security/employee screening schedules and other, specialist materials peripheral to the main terms of agreements.
- Creation of standard form client contracts and LoV templates and precedents as described above.
- Management of caseload via case management system.
- Management of projects via project methodology.
- Maintenance of database of key contracts’ key terms.
- Maintenance of template and precedent RFP/tender responses.
- Managing escalations to UK Legal Management (Head of Legal (Commercial Transactions) and Legal Director (Transactions)) and SMEs as appropriate.
- Liaising with the UK Sales and Finance teams.
- Assisting on ad hoc queries.
- Assisting UK Legal Operations team with respect to automation of contract production.
- Attendance at internal meetings with respect to contract opportunities.
- Attendance at UK Legal team meetings.
- Creating and maintaining a knowledge management system in tandem with other team members, specifically in relation to client fees and payment provisions.
- Creating and updating legal documentation (including contracts and playbooks) in tandem with other team members.
- Assisting on the formatting of documents prior to signature.
**Key skills required**:
- A high level of drafting skill.
- High degree of fluency in spoken and written English.
- Strong numeracy with a proven ability to work with complexity around numbers.
- Very strong negotiation skills. This will be supported by (but will also need to enforce) TransUnion’s standard position on all legal issues.
- Ability to quickly absorb and understand often complex processes and methodologies. A thorough knowledge and understanding of the content of and reasons behind the applicable policies and procedures of TransUnion (including those maintained by UK Legal team) will be needed in due course.
- Ability to work collaboratively and flexibly, demonstrated by helping out by moving priorities around when necessary, to deal with urgent work in the UK Legal team and positive attitude to taking on all levels of work.
- Ability to forge good working relationships and communicate well with employees at all levels in the business and with external contacts.
- Ability to work on cross-border projects with other TransUnion teams/ lawyers located in different jurisdictions.
- Being able to forge and maintain professional and mutually respectful relationships with members of the UK Legal team to facilitate a harmonious working atmosphere.
- Being able to offer commercial as well as legal advice based on commercial experience, while at the same time keeping within TransUnion’s policy and procedure framework.
