**Corporate Legal Associate Job Description**
**Position**: Corporate Legal Associate
**Department**: Legal
**Reports to**: Senior Legal Counsel / Legal Manager
**Job Overview**:
The Corporate Legal Associate provides legal assistance, support, and expertise to the company on corporate matters, ensuring compliance with laws and regulations. This role involves drafting, reviewing, and negotiating various legal agreements, advising the business on legal risks, and assisting with corporate governance.
**Key Responsibilities**:
- **Contract Drafting and Review**:
- Draft, review, and negotiate a wide variety of commercial contracts, including service agreements, vendor contracts, confidentiality agreements, and partnership agreements.
- Ensure contracts comply with applicable laws and regulations and align with the company's interests.
- **Corporate Governance**:
- Assist in the preparation of board resolutions, minutes, and other corporate governance documents.
- Support the legal team in maintaining corporate records and ensuring compliance with corporate laws.
- Provide advice on company structure, subsidiaries, and internal governance policies.
- **Legal Research and Analysis**:
- Conduct thorough legal research on regulatory changes and emerging laws that may affect the company.
- Analyze and summarize legal information, providing clear, concise, and actionable insights to stakeholders.
- **Regulatory Compliance**:
- Advise on compliance issues related to corporate activities, ensuring the company adheres to industry regulations.
- Assist in implementing compliance programs and providing training to employees.
- **Risk Management**:
- Identify potential legal risks in business operations and work with relevant departments to mitigate those risks.
- Provide legal advice on a broad range of corporate legal matters to minimize legal risk and ensure compliance with corporate policies.
- **Dispute Resolution and Litigation**:
- Support the litigation process when necessary, working with external counsel to handle disputes, claims, and regulatory matters.
- Assist in resolving disputes related to contractual obligations, employment, and other corporate issues.
- **Mergers and Acquisitions (M&A)**:
- Support M&A transactions by conducting legal due diligence, preparing and reviewing transaction documents, and facilitating deal closures.
- **General Legal Counsel**:
- Provide general legal advice on matters affecting the company, including employment law, intellectual property, and commercial law.
- Collaborate with various business units to provide sound legal advice on daily operational matters.
**Key Skills and Qualifications**:
- **Education**:
- Bachelor’s degree in Law (LLB). A Master’s degree (LLM) or additional certification in corporate law or business law is preferred.
- Admitted to practice law in [relevant jurisdiction].
- **Experience**:
- 2-5 years of experience in corporate law, preferably in a corporate legal department or law firm specializing in corporate legal matters.

- Excellent verbal and written communication skills to convey complex legal concepts in simple, actionable terms to various stakeholders.
- Ability to interact effectively with internal teams, senior management, and external parties such as vendors, regulators, and external counsel.

- Ability to identify and assess risks and provide strategic solutions.
- **Negotiation Skills**:
- Skilled in negotiating and influencing outcomes in contract discussions and business negotiations.

- Strong organizational skills with the ability to manage multiple projects and meet deadlines.
- **Problem-Solving**:
- Ability to resolve legal issues and disputes with a solutions-oriented approach.
- **Adaptability**:
- Capacity to work in a fast-paced environment with evolving legal and regulatory frameworks.
- Willingness to learn and adapt to new legal challenges as they arise.

Pay: ₹15,000.00 - ₹35,000.00 per month
