Provides proactive, efficient and confidential contractual support to STMJ, ERC and other Content teams by: (a) reviewing and, where necessary, drafting various contractual documentation including journal and book author and editor contracts/amendments/terminations, as well as independent contractor agreements and services contracts; (b) ensuring that contractual documentation complies to Elsevier and RELX processes and policies; (c) recognising and escalating matters that create significant risk to the business or that require additional legal input; (d) reviewing the work of others for accuracy when required; and (e) taking on other contract-related tasks as and when needed for departmental objectives, such as training, preparation of self-help tools for the business, automation of contracts and improvement of existing processes. Has strong knowledge of intellectual property/legal concepts, practices, and procedures and experience working with a variety of commercial contracts.
Prepare and processes Book and Journal Author/Editor agreements, amendments, terminations and ICA SOWs, PSAs/MSAs with non-standard terms. Reviews agreements of others within the department where required to ensure accuracy. Work on specific projects as and when required by the team such as preparation of self-help tools for the business, automation of contracts and improvement of existing processes.
Review, check and draft legal documents, work with customers to resolve their legal queries, guide and train customers for correct usage of legal templates.
Organizes workflow, assign requests to other member of staff, maintain status, train personnel, and work to improve procedure whenever necessary. Become the key person involved with the particular process requiring little supervision or guidance from the Senior Contracts Manager.
Able to use Elsevier's online technology based platform for drafting and vetting of agreements.
Ensures that important issue or material risks are escalated timely to the Contracts Manager, Company Counsel or General Counsel, Content, as appropriate. Communicating prolifically with business stakeholders to ensure that contractual documentation meet business needs and provide training to the business where required.
Given the opportunity, you will take up new work load from extended legal team members as and when required.
Collating statistics regarding performance of the team and preparing reports for use by the Legal Management Team where required. Taking responsibility for ad hoc project in the legal team from time to time.
