Job Title: Company Secretary
Key Responsibilities: 1. Compliance Management - Ensure compliance with corporate laws, SEBI (Securities and Exchange Board of India) regulations, and other applicable laws and regulations. - Filing statutory returns, including ROC (Registrar of Companies) filings, stock exchange disclosures, and other regulatory submissions. - Liaison with regulatory authorities like SEBI, ROC, Stock Exchanges, and Depositories. 2. Governance and Board Administration - Organize and attend Board, Committee, and General Meetings, including Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs). - Prepare agendas, notices, and minutes for Board and Committee meetings. - Advise the Board on corporate governance best practices and statutory obligations. - Maintain and update statutory registers and records as per the Companies Act. 3. Legal Advisory - Provide legal and strategic advice to the Board and management on matters of governance, ethics, and compliance. - Draft, review, and vet legal documents and contracts. - Ensure compliance with listing agreements and applicable laws for listed companies. 4. Liaison and Communication - Act as the point of contact between the Board, shareholders, regulators, and other stakeholders. - Ensure timely dissemination of information to shareholders, such as notices of meetings, results, and financial updates. - Handle investor grievances and maintain effective investor relations. 5. Risk Management - Identify and mitigate corporate governance and compliance risks. - Develop and implement policies to ensure ethical and efficient business practices. 6. Reporting and Documentation - Ensure accurate and timely submission of quarterly, half-yearly, and annual reports to stock exchanges. - Oversee the preparation of the Annual Report and other corporate filings. - Maintain confidentiality of sensitive information and ensure data protection compliance. Qualifications and Experience: - Membership in the Institute of Company Secretaries of India (ICSI) or equivalent recognized body. - Experience in handling the secretarial function of a listed company (minimum 5-8 years preferred). - Sound knowledge of Companies Act, SEBI regulations, LODR (Listing Obligations and Disclosure Requirements), FEMA, and allied laws. Key Skills: - Strong communication and interpersonal skills. - Proficiency in corporate governance and compliance frameworks. - Excellent organizational and documentation skills. - Analytical thinking and attention to detail. - Ability to work under pressure and meet deadlines. Pay: ₹600,000.00 - ₹7,800,000.00 per year
