Job Title: Company Secretary (CS)

Location: Noida Employment Type: Full-Time | Onsite

Key Responsibilities:
Compliance and Governance:
1. Ensure compliance with the Companies Act, 2013, and other applicable laws, rules, and regulations, with respect to a publicly listed company.

2. Maintain statutory registers, records, and filings with the Ministry of Corporate Affairs (MCA) and Registrar of Companies (RoC) and other compliances as required by various government departments and shareholders.

3. Prepare and file annual returns, financial statements, and other statutory documents.

4. Keeping updated on all the changes, amendments and introduction of new provisions by the government authorities and statutory bodies, Advise the Board of Directors on corporate governance best practices.

5. Liaise with regulatory authorities such as SEBI, stock exchanges, RBI, GST etc(as the need may be), and other government bodies.

Board and General Meetings:
1. Organize, schedule, and document Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).

2. Prepare agendas, notices, and minutes for meetings and ensure timely distribution to stakeholders.

3. Assist in drafting resolutions and following up on action points.

Legal and Secretarial Support:
1. Draft and review contracts, agreements, and other legal documents related to business operations.

2. Handle intellectual property filings, especially patents and trademarks related to hearing aid technology.

3. Oversee the implementation of ESOPs, if applicable, and ensure compliance with related laws.

4. Manage due diligence processes for mergers, acquisitions, or partnerships in the audiology sector.

Stakeholder Communication:
1. Act as a liaison between the Board of Directors, shareholders, and regulatory authorities.

2. Ensure timely and accurate communication with stakeholders about changes in corporate policies or practices.

Industry-Specific Compliance:
1. Ensure adherence to regulations related to medical devices, including FDA, ISO, and CE certifications.

2. Stay updated on guidelines for telehealth and remote audiology services, ensuring the company’s compliance.
Qualifications and Skills:

- Educational Qualification: Qualified Company Secretary (Member of ICSI).
- Experience: 3-5 years of post-qualification experience, preferably in the medical device or healthcare industry.
- Should be good in formal written communications and adapt at documentation
- Strong knowledge of corporate laws, governance, and compliance frameworks.
- Familiarity with intellectual property laws and medical device regulations is a plus.
- Excellent communication, organizational, and analytical skills.
- Ability to work independently and in a team-oriented environment.
- High attention to detail and the ability to manage multiple tasks simultaneously.
Pay: ₹70,000.00 - ₹80,000.00 per month
