**Job Summary**: The Company Secretary at Modi Builders, a leading construction firm, will ensure the smooth operation of the company's administration by providing expert legal, administrative, and governance support. This role includes ensuring compliance with statutory and regulatory requirements, implementing decisions made by the Board of Directors, and maintaining high standards of corporate governance. The Company Secretary will play a critical role in facilitating communication between the board, management, and stakeholders, and in overseeing risk management and compliance within the construction industry context.
**Key Responsibilities**:
- **Governance**:
- Ensure the company complies with its governing documents, relevant legislation, and regulations specific to the construction industry.
- Provide guidance to the board on their responsibilities under various laws and regulations.
- Facilitate the smooth operation of the company's formal decision-making and reporting mechanisms.
- **Board and Committee Support**:
- Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
- Ensure minutes are accurately recorded and maintained.
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
- **Compliance and Filing**:
- Ensure the company meets its statutory obligations, including filing annual returns, financial statements, and other necessary documents with regulatory authorities.
- Maintain statutory books, including registers of members, directors, and secretaries.
- **Communication and Liaison**:
- Act as a point of communication between the board, shareholders, and other stakeholders.
- Ensure effective communication with stakeholders, including contractors, suppliers, and regulatory bodies.
- **Advisory Role**:
- Provide legal, financial, and/or strategic advice during board meetings.
- Advise on corporate governance matters and best practices, particularly in the context of construction projects and industry-specific regulations.
- **Risk Management**:
- Oversee the development and implementation of policies on issues such as equal opportunities, health and safety, environmental compliance, and data protection.
- Manage the risks associated with the company’s operations, including construction project risks, and ensure mitigation strategies are in place.
- **Contract Management**:
- Review and manage contracts with clients, subcontractors, and suppliers to ensure compliance with legal and regulatory standards.
- Provide support in dispute resolution and negotiations related to construction contracts.
- **Training and Development**:
- Organize induction and training for new directors.
- Facilitate ongoing professional development and training for board members and senior management, with a focus on compliance and industry-specific regulations.
**Qualifications**:
- Bachelor's degree in Law, Business Administration, or related field. A Master's degree is a plus.
- Qualified member of the Institute of Company Secretaries or other relevant professional body.
- Minimum of 5- 10 years of experience in a company secretary or corporate governance role, preferably within the construction industry.
**Skills and Competencies**:
- In-depth knowledge of corporate governance and regulatory requirements, particularly in the construction sector.
- Strong organizational and time management skills.
- Excellent communication and interpersonal skills.
- High attention to detail and accuracy.
- Ability to work independently and handle confidential information with discretion.
- Proficiency in using office software, such as Microsoft Office Suite, and familiarity with board portal software.
**Additional Requirements**:
- Willingness to travel to construction sites and other locations as required.
- Ability to work flexible hours, including evenings and weekends, to attend board and committee meetings.
**Job Types**: Full-time, Permanent
Pay: ₹50,000.00 - ₹90,000.00 per month
