**Broad outline of the Role**

**Purpose - Broad objective of the role**

Responsible for Tax Structuring and Reorgniastaion for the Tata Communications Group. SPOC for supporting business teams in efficient structuring of sales and procurement transactions across the globe. Study, examine and advise the tax implications of strategic/expansion decisions and new projects.

**Minimum qualification & experience**

CA with the work experience of 12 to 15 years. Should have worked as tax lead handling MandA division in a large scale organisation.

**Other knowledge/skills**

Knowledge of Direct, Indirect tax, Stamp duty, etc. regulations in respective countries. Fair knowledge of accounting in local GAAPs and USGAAP/IFRS/IAS. Excellent communication skills and building and nurturing relationships with the external and internal stake holders.

**Key Responsibilities**

1) MandA, BEPS, POEM, etc. 1. Working on various tax reorganization projects for the Company (such as merger, acquisitions etc) which includes end to end project co-ordination, review of documents, preparation of presentations for the management, Valuation etc. 2. Study, examine and advise the tax implications of strategic/expansion decisions and new projects of the company. This includes participating in internal discussions on new deals (such as RFPs, bids etc) and jointly working with the respective teams to ensure minimum tax exposure on the organization and its various subsidiaries across the globe. 3. Working on various projects for the group (such as BEPS initiatives, RandD initiatives, POEM regulations etc) to ensure tax optimization for the group as a whole and preparing reports andpresentations around tax structuring and related rationale for the Boards as per requirements. 2) Contract Structuring 1. Providing transactional level support on various deals to internal customers such as sales, billing, collections, product etc for the organization and its various subsidiaries across the globe. 2. Acting as a SPOC for advising on the contracting structure on all deals (Customer and Vendor) undertaken by the organization and its various subsidiaries across the globe. 3. Devise long term tax strategies/ guidelines for the organization and aid in implementation of the same to ensure tax certainties and minimize risk exposure. This also includes developing efficient transaction /contract structures in deals through assessment of tax benefits. 4. Identify and drive specific group initiatives towards long term tax optimization. 3) Thin Capitalisation compliances Ensure that the organization and its subsidiaries across the globe are compliant with the thin capitalization rules present in various counties - this begins from monitoring whether there is any entity which is non-compliant to ensuring that necessary steps and compliances are undertaken to make the respective entity thin cap compliant. 4) Preparation of Board Presentation Collating details/information from the various internal teams and preparing presentations for the TCLIPL and TCL Board 5) Others Provide clearance on tax withholding on foreign remittances. Provide support to sales team on business contract drafting and ensure tax issues are clearly identified. Liaison with government departments, develop relationships. Identify newer areas for tax-optimisation, e.g. obtaining tax concessions, advance rulings etc., 6) Knowledge Management Giving trainings to various internal teams and devising guidelines to streamline the contracting structure and other tax aspects
