Job Title: Company Secretary
Job Location: 93 Avenue, Near Fatima Nagar, Solapur Road, Opp. Croma, Wanwadi, Pune
Working Days: 6 days (2nd & 4th Saturday Off)
Working Hours: 10 AM to 6:30 PM
**Salary**: Up to 6 Lacs per annum
Age Preference: Below 30 years
Experience: 3 to 5 years
Roles and Responsibilities:
1. **Secretarial Compliance**: Ensure all group companies adhere to statutory and regulatory requirements related to secretarial functions.
- Oversee the maintenance of statutory records, registers, and documents as per the Companies Act and other relevant laws.
- Prepare and file annual returns, financial statements, and other necessary documents with the Registrar of Companies (ROC) and other governmental bodies within the stipulated timeframe.
- Monitor and implement changes in company laws, regulations, and best practices to maintain robust corporate governance.
- Coordinate with auditors, legal advisors, and other stakeholders to ensure compliance with statutory requirements.
2. **Statutory Compliance**: Manage the statutory compliance of the company as per the Companies Act and other relevant laws.
- Liaise with the Registrar of Companies, Stock Exchanges, and other regulatory bodies to ensure timely filing of statutory returns and documents.
- Assist in the preparation and filing of statutory returns such as MCA-21 forms, ROC annual filings, and other necessary documentation.
3. **Board Meetings and Minutes**: Conduct and manage board meetings, and prepare accurate minutes of the meetings.
- Schedule and coordinate board meetings, general meetings, and other committee meetings.
- Prepare and circulate agendas, papers, and other relevant documentation to the board members.
- Draft minutes of meetings with precision, capturing all decisions made and actions required.
- Follow up on the implementation of the board's decisions and ensure that all resolutions are documented and executed appropriately.
- Maintain the company's statutory books, including the minutes book, proceedings book, and resolutions.
4. **Overall Company Secretary Activities**: Perform a broad range of company secretarial duties.
- Manage the issuance, transfer, and maintenance of share certificates and other securities.
- Assist in the preparation of board reports, notices, and resolutions.
- Facilitate the appointment, resignation, and removal of directors and key managerial personnel.
- Organize and manage the company's secretarial function, ensuring smooth operations and adherence to the company's bylaws and articles of association.
- Provide guidance to the board on corporate governance and best practices.
5. **Reporting**: Report directly to the Executive Directors and provide them with critical information and support.
- Prepare reports on statutory compliance for the board and senior management.
- Communicate with the board and senior management regarding any non-compliance issues or potential risks.
- Support the board in decision-making by providing comprehensive, accurate, and timely information on legal and governance matters.
- Work closely with the finance team to ensure that the company's financial reporting meets statutory requirements.
Skills and Qualifications:
- Strong knowledge of the Companies Act, 2013, SEBI regulations, and other relevant laws.
- Proven experience in handling secretarial and statutory compliance for a company.
- Excellent communication and interpersonal skills
- Strong organizational and time-management skills to manage multiple tasks and meet strict deadlines.
- Proficiency in MS Office, particularly Word, Excel, and PowerPoint.
- Ability to work independently and as part of a team in a fast-paced environment.
- Strong analytical and problem-solving abilities.
Pay: ₹450,000.00 - ₹600,000.00 per year
