Semi Qualified Company Secretary

**Key Responsibilities**
- Ensure compliance with the Companies Act, 2013 and related laws.
- Manage board meetings, general meetings, and committee meetings, including drafting of agendas, minutes, and resolutions.
- Assist in fund raise compliances, private placements, and ESOP structuring.
- Conduct legal and regulatory due diligence for mergers, acquisitions, and investments.
- Handle ROC filings, event-based and annual compliance requirements.
- Draft and review shareholder agreements, investment agreements, and other legal documents.
- Work closely with startups, investors, and legal teams to provide compliance guidance.
- Communicate with regulatory authorities, auditors, and stakeholders as needed.
**Qualifications & Skills Required**
- Semi-Qualified Company Secretary (ICSI) with relevant experience.
- Must have completed B.Com and scored above 80% in graduation.
- Proficient in MS Office (Word, Excel, PowerPoint).
- Strong knowledge of the Companies Act and FEMA, regulations.
- Independent thinker with the ability to take ownership of tasks.
- Excellent leadership skills and ability to work in a fast-paced, challenging environment.
- Flexible with work timings to meet deadlines and project requirements.
- Strong drafting and communication skills.
- Ability to grasp complex legal and regulatory concepts quickly.
