Job Description
Role and Responsibilities:
- Responsible for corporate governance matters for EzeSoftware India Private Limited (“Eze India”) including drafting of notices, agenda, board and shareholder minutes, annual reports and transactional documents; conducting board, committee and shareholder meetings; organization and maintenance of corporate books and records.
- Report to the board of directors of Eze India regarding compliance with the provisions of local law and rules applicable to Eze India.
- Ensure compliance with applicable secretarial standards, including e-filing of forms and updating, verifying and checking of statutory registers (physical and soft copy) and other records/documents; implement and monitor compliance calendar.
- Establish and maintain good working relationships with all levels of personnel, including senior management, and handle confidential information sensitively and discreetly.
- Responsible for handling the compliances under the applicable laws for a foreign subsidiary including Reserve Bank of India (RBI), Foreign Exchange Management Act (FEMA), Internal Complaint Committee (ICC) and any applicable statutory compliances.
- Responsible for Corporate Social Responsibility (CSR) Committee meetings, initiating approvals for CSR funding, executing the process in its entirety and coordinating with Non Government Organizations (NGOs) on regular intervals.
- Handle Eze India’s local compliance matters including renewal of Special Economic Zone (SEZ) unit approval including Shops & Establishments certificates, undertaking tax exemptions for vendors, prepare and submit monthly, quarterly and annual reports on import-export details, maintain online account for the SEZ unit whereby all the imports, Bill of Entry details are tracked and approved, process the approval for additional services, if required from third party vendors for tax exemption purposes, submit regular updates to the SEZ department regarding Eze India’s activities, any change in authorized person, new objectives including other changes in other constitution and other capital of Eze India.
- Drafting, reviewing and executing vendor contracts, engagement letters, Memorandum of Understanding (MoU) with NGOs, including any amendments and renewals.
- Coordinate with Eze India’s local counsel and the US based legal team on Eze India related matters.
- Facilitate the preparation, delivery, and processing of commercial contracts for Eze India.
- Work with the US based legal team regarding day-to-day and long-term legal team projects.
- Perform additional team or cross-departmental responsibilities as assigned.
- Enter, track, and maintain data within internal information systems such as Onbase and playbooks.
Job Qualifications:
- Prior work experience as a CS at a law firm preferred.
- Self-starter, strong organizational skills, follow through, and ability to multi-task a must.
- Excellent verbal and written communication skills in English.
- Ability to work well under pressure in a fast-paced environment.
- Strong analytical and problem-solving skills with excellent attention to detail.
- Strong individual and team player.
