Summary

The Legal & Compliance Counsel advises on and serves as the first point of contact for legal matters and compliance issues within India. This individual will be part of the legal and compliance team and be expected to manage a wide scope of legal, contractual and compliance matters both in India and in other jurisdictions as needed. This position will report directly to the Legal & Compliance team in the United States with dotted line responsibility to India management.

**Job Description**:
Legal Responsibilities

o Providing strategic and technical legal advice on a full range of local legal issues, including commercial agreements, employment (including working with labor unions), corporate and competition law matters (sometimes also with assistance of external counsel);

o Triaging legal matters arising in India for appropriate handling (whether by self, other member of Legal Department, other company function, or outside counsel);

o Liaising with government officials in an ethical and compliant manner - experience obtaining and complying with statutory permits and requirements and experience working with organizations like MIDC, MPCB, DISH, MSEDCL is a plus;

o Supporting the commercial business by providing advice on a variety of legal and compliance related matters, as well as drafting, reviewing and negotiating commercial contracts and other legal documents, such as non-disclosure agreements, construction-related contracts, memoranda of understanding, customer and service agreements, supply and quality agreements, confirmation or warranty documents; and

o Collaborating with other members of the Legal & Compliance Department to ensure proper information flow and legal support.

Compliance responsibilities

o Developing and overseeing programs that reduce the risk of illegal or unethical activities in the region such as training on anti-corruption policies and global laws;

o Helping determine potential activities that might lead to regulatory or ethical failures;

o Assisting with advising and providing guidance on a broad range of compliance-related topics including ethics, anti-bribery, anti-corruption, and other related areas;

o Developing training plan and training content for ethics and compliance topics; and

o Liaising with government officials to ensure compliance with company policy and global laws and regulations relating to ethical behavior.

Knowledge/Special requirements
- Learns to use professional concepts. Applies company policies and procedures to resolve routine issues. Familiar with international anti-corruption laws such as the Foreign Corruption Prevention Act in the United States and the United Kingdom Anti-Bribery laws as well as any local anti-corruption laws in the region.

Required Certifications and Training
- Legal degree required
- Certified compliance professional a plus
- Corporate secretary certification a plus
- Obtains and completes LMS training plan specific to assigned responsibility.

Experience Level with Business Tools
- Proficient in utilizing business tools such as: E-mail, Microsoft Word, Excel, and PowerPoint.
- Experience with SAP or equivalent ERP product and productivity software desired.
- Experience with Steel for third party vetting

Typical Education and Experience
- Indian qualified lawyer.
- Certified compliance provisional preferred but not required
- Corporate secretary certification preferred but not required
- 8-12 years’ experience at a reputable law firm or multi-national company, 3 years of which should be at a reputable law firm

Ability to Travel
- Preference for residents of Pune area.
- Travel may be required.
